Under general direction of the Deputy General Counsel/Assistant General Counsels manages a technically specialized unit within the Legal Department. Provides legal advice and carries out actions which have an impact upon the rights, privileges and responsibilities of the company while maintaining high standards of legal and business ethics and professional responsibility.Responsibilities:
Represents and advises the company in substantial legal and business transactions which require legal expertise and generally involve a high degree of original and creative legal endeavor, evaluation of complex or novel issues, or vigorous adverse parties. Provides advice and counsel to client department managers participates as requested in the formulation of policy for the company. Performs comprehensive research and analysis in assigned areas of specialization directs, focuses and refines comprehensive research of others.
This role will partner closely with Technology, Security, Procurement, Marketing, and Executive leadership to structure strategic enterprise technology deals, protect our IP, guide AI adoption and governance, cybersecurity legal issues, data, and brand risk. The ideal candidate combines exceptional drafting and negotiation skills with deep subject-matter expertise across software, cloud, data, AI/ML, patents, and trademarks.
Strategic enterprise technology agreements
- Lead, draft, and negotiate complex enterprise technology transactions, including cloud (SaaS/PaaS/IaaS) MSAs, software licensing and ELAs, professional services, SOWs, SLAs, evaluation and beta agreements, OEM/reseller/partner and marketplace agreements, outsourcing and managed services.
- Structure data and AI-related terms, including data rights and usage, model training rights and restrictions, output ownership, confidentiality, security, and IP indemnities.
- Own data processing and security agreements/addenda and coordinate with our Privacy team and Company security standards.
- Build and maintain best-in-class templates, fallback positions, clause libraries, and playbooks; drive negotiation efficiency with clear risk frameworks.
- Manage the patent portfolio including outside counsel oversight, and budgets.
- Advise on open source implications, trade secrets protection, technology landscaping, and competitive IP strategy.
- Support IP issues in commercial deals and corporate transactions, including licensing, joint development, and M&A diligence and integration related to Transitional Service Agreements.
- Advise on AI/ML product development, and responsible AI governance, (training data rights, safety, bias, transparency, output/IP risks, attribution).
- Draft and negotiate AI-specific contractual provisions with vendors and customers; assess and operationalize evolving AI regulations and standards.
- Counsel on cybersecurity requirements, incident response readiness, breach notification, and security audits; negotiate security addenda aligned to SOC 2, ISO 27001, and industry frameworks.
- Support information governance, data retention, and vendor risk management.
- Lead trademark clearance, filing, prosecution, portfolio management, and renewals globally with assistance of outside counsel.
- Manage enforcement, oppositions, UDRP/domain name strategy, brand usage guidelines, and social media and marketing reviews.
- Serve as a strategic advisor and thought partner to senior leaders, translating complex risk into pragmatic, business-forward solutions.
Qualifications:
- Requirements include excellent analytic, legal writing and communication skills, familiarity with corporate operations and SBU objectives and demonstrated ability to interact with Company personnel as well as outside counsel and representatives of other companies and adversaries
- Requires expert knowledge of a specialized area of law
- Completion of law school with a JD or LLB degree and admission to the bar of at least one jurisdiction in the United States required
- Generally requires at least 10 years' experience as a practicing attorney
