Description:
Job Summary:Member of the Bank's Legal Department, providing analysis and counsel on legal and policy issues in the Bank, with a focus on Bank operations including commercial and consumer deposits and on real estate and personal property secured loan transactions. Anticipates and guards against legal risks facing the company.
Principal Duties & Responsibilities:
- Reviewing, drafting and negotiating loan documents, including loan and security agreements, promissory notes, deeds of trust, subordination agreements and guarantees.
- Rendering legal advice and support to the Bank's operations, including deposits, electronic banking, payments, and fiduciary activities.
- Reviewing, drafting and negotiating Bank operational documents, including customer facing agreements, relating to deposit, cash management and other bank products.
- Reviewing advertisements, disclosures and other matters and transactions having regulatory compliance implications.
- Supporting legal process handling (e.g., garnishments and subpoenas).
- Reviewing and analyzing customer entity formation and other organizational documents, such as operating agreements, bylaws, partnership agreements, resolutions, and court-issues documents. Advising internal clients on organizational and officer authority-related issues, as well as signing authority.
- Assisting and responding to internal questions related to bank operations (including account opening and closing, trust and estates, fiduciary or custodial roles, court orders, etc.).
- Providing legal advice concerning general regulatory and corporate matters
- Preparing regulatory and corporate filings.
- Negotiating confidentiality agreements.
- Conducting legal research on statutes and regulations affecting consumer, business and fiduciary deposit accounts.
- Supporting other attorneys as-needed, across the legal organization.
- Keeping management and other appropriate Bank personnel apprised of significant changes to statutory laws and regulations and significant developments in case law that might impact the Bank.
- Providing training and other advice and instruction to Bank personnel on appropriate preventative law and legal and compliance issues.
- Contributing to the legal assessment of new bank products.
Position specifications:
Education: Juris Doctor from an accredited law school
Skills/Qualifications:
- Approximately 5 to 10 years of banking or law firm (with bank representation) experience and real estate and personal property secured loan transactions experience.
- Knowledge of federal and state banking laws
- Knowledge of Articles 3 and 9 of the Uniform Commercial Code
- Knowledge of California real property law
- Ability to work as part of a legal team consisting of multiple attorneys with different areas of specialty
- Strong organizational skills and the ability to work on a broad variety of assignments with short deadlines
- Excellent verbal and written communication skills
