Maselli, Mills & Fornal, P.C. is a premier business and banking boutique law firm, seeking an ambitious associate attorney (0-3 years' experience) to join our thriving commercial lending and real estate practice groups in its Princeton, New Jersey office.Maselli, Mills & Fornal represents leading financial institutions, private lenders, family offices, investors and business clients in an expansive range of commercial finance and real estate transactions. This is a unique opportunity to work directly with senior attorneys and gain immediate exposure to high-level deals.
Responsibilities will include: advising clients regarding complex loan origination, workout, restructuring, modifications and loan sales; assist in structuring and negotiating acquisition financing, construction loans, bridge loans, SBA loans, and asset-based loans; conducting and overseeing the review of organizational documents, title, survey, and other transactional and financing requirements; drafting and negotiating commercial lending transactions, including loan agreements, promissory notes, guaranties, security agreements, mortgages, and other related financing documentation; and preparing and/or reviewing and negotiating purchase and sale agreements, commercial leases, operating agreements, and other transactional documents.
