The Assistant Contract Counsel plays a crucial role in supporting the legal team by providing assistance in various aspects of contract management and administration. This role involves working closely with attorneys and other legal professionals to ensure compliance with legal requirements, mitigate risks, and facilitate efficient contract processes.

The Assistant Contract Counsel will be responsible for reviewing, drafting, and negotiating contracts, as well as conducting legal research, managing contract databases, and providing general legal support as needed. This position requires strong analytical skills, attention to detail, and the ability to work effectively in a fast-paced environment. This position also requires the ability to understand reporting, dashboarding, CRMs and effectively leveraging the technology to make the contract process more efficient. This position requires being able to understand the business needs and coming up with creative legal solutions.

This schedule for this opportunity will be M - F, six hours per day, a 30-hour per week. This role is eligible for all benefits offered by A Software Company. While this is a hybrid position, we are seeking candidates that are local to our office in Morrisville, N.C.

Core Responsibilities:
  • Provide a range of legal support to counsel(s) and business managers.
  • Assist with reviewing contracts, legal letters, and customer compliance concerns.
  • Review reports, dashboards, and processes to continuously analyze and monitor data quality and integrity.
  • Assist with projects relating to contract law, IP licensing law, and open to assist on other projects where needed.
  • Review, draft, and negotiate a wide range of contracts, including but not limited to vendor agreements, service contracts, and nondisclosure agreements.
  • Conduct legal research to support contract interpretation, compliance, and risk assessment.
  • Maintain accurate and organized contract files and databases, including tracking key contract milestones and deadlines.
