About the role:
The Assistant Corporate Counsel provides legal support across multiple areas of the business, including contract management, risk mitigation, regulatory compliance, and M&A activity. Reporting directly to the Chief Legal Officer, this role supports both day-to-day legal needs and long-term strategic initiatives as the firm continues to grow, including support for affiliated Sammons Financial Group Wealth Management Division companies Beacon Capital and Wealthcare.
What you will do:
- Draft, review, and negotiate a variety of commercial contracts including SaaS agreements, vendor agreements, NDAs, licensing deals, and channel partner agreements
- Oversee contract lifecycle management processes
- Assist in legal due diligence, documentation, and integration efforts related to mergers and acquisitions
- Coordinate with outside counsel to support deal execution, regulatory review, and post-close integration
- Serve on the firm's Risk Management Committee, assessing legal risks and providing strategic recommendations
- Oversee corporate insurance policies and renewals
- Monitor and interpret laws and regulations related to data privacy, cybersecurity, and intellectual property (e.g., GDPR, CCPA)
- Provide legal guidance and operational support to affiliated companies including Beacon Capital and Wealthcare
- Collaborate with leadership teams across An Investment Management Firm and affiliates to ensure legal consistency, compliance alignment, and shared best practices
- Partner with external counsel on employment matters, litigation, contract negotiation, regulatory issues, and new business lines
- Handle ad hoc legal matters and contribute to cross-functional special projects
- Assist in corporate restructuring efforts to mitigate risk and optimize the company for scale
What you bring:
- Juris Doctor (J.D.) from an accredited law school
- Active license to practice law in at least one U.S. jurisdiction
- 4–6+ years of legal experience (in-house or law firm) preferred
- Background in commercial contracts, M&A, and regulatory compliance
- Strong grasp of contract law and legal risk assessment
- Experience working with Registered Investment Advisory (RIA) firms preferred
- Excellent written and verbal communication skills
- Strong business acumen and ability to provide practical legal guidance
- Exceptional attention to detail and organizational skills
- Ability to manage multiple priorities in a fast-paced environment
