Position Summary:A Mining Company in Nashwauk, Minnesota is seeking an experienced and driven Associate General Counsel to join our legal team. The ideal candidate will have a minimum of 5 years of legal experience, with a strong background in contract review, regulatory compliance, real estate, and financing transactions. This individual will play a critical role in supporting our legal operations across construction, permitting, commercial transactions, financing, and long-term development strategies.
Job Responsibilities:
The Associate General Counsel will report to the General Counsel and Chief Legal Officer and will be responsible for the following:
- Draft, review, and negotiate a wide range of contracts including financing agreements, vendor and supply chain contracts (including procurement and offtake agreements), equipment leases, construction contracts, and consulting agreements, ensuring alignment with company objectives and risk mitigation strategies.
- Provide support on financing initiatives, including structuring complex transactions for project funding, capital raises, and debt refinancing; conducting thorough due diligence with financial partners; reviewing and monitoring compliance with financing documentation; and coordinating with investment banks, lenders, and external counsel to facilitate timely closings and compliance.
- Develop and implement risk management frameworks, including identifying, assessing, and mitigating legal risks across operations, environmental matters, supply chain, HSE, and insurance, indemnity provisions, and dispute resolution mechanisms.
- Monitor regulator compliance and implement systems to oversee permitting processes collaborating with cross-functional teams.
- Acquisition, renewal, and compliance of environmental permits, including air, water, and mining permits, ensuring adherence to state, and federal environmental regulations, and coordinating with regulatory agencies to address permitting requirements.
- Advise internal stakeholders, including operations, procurement, finance, logistics, and executive leadership, on contract-related risks, financing implications, and overall compliance matters, fostering a proactive approach to legal risk avoidance and resolution.
- Manage relationships with external counsel and advisors for litigation matters.
Skills and Qualifications:
- Minimum of 5 years of relevant legal experience.
- Proven experience in contract review, negotiation, and corporate compliance.
- High level of initiative, sound judgment, and business acumen.
- Preferred: Experience with financing, construction, energy, infrastructure, or heavy industry sectors.
Education:
- Juris Doctor (JD) from an accredited U.S. law school.
- Admitted to practice law in at least one U.S. jurisdiction; Minnesota license preferred.
