Radiology Partners is seeking an experienced attorney who is looking for an exciting and fast-paced in-house opportunity at our rapidly expanding company. This attorney will oversee the legal teams providing legal guidance and support to The Practice on corporate, debt and equity matters. This includes, but is not limited to, advising and serving as a strategic business partner on corporate transactions, entity structure, board governance, equity, and compliance with corporate and security laws and regulations.
VP, Managing General Counsel - Position Summary:
- Serve as lead legal corporate counsel and a strategic business partner, with an emphasis on corporate structure, entity management, board governance, and mergers and acquisitions and other strategic liquidity transactions.
- Oversee other corporate attorneys/paralegals as they support, assist, and collaborate with compliance teammates and business clients in identifying and resolving legal/corporate matters.
- Advise on compliance with federal and state corporate laws and SEC regulations. Draft and review contracts, agreements, and other corporate filings and documents.
- Provide advice and counsel on proposed agreements, transactions and other corporate law matters.
- Support business and legal and compliance counterparts in responding to corporate issues and deals.
- Serve as lead legal counsel for all Practice corporate transactions and oversee the corporate team in drafting, negotiating, and issuing equity grants. Provide corporate legal advice and support on tax matters.
- Coordinate matters with outside counsel.
- Advise on corporate policies and procedures and support the legal team's continuous improvement through the development and refinement of playbooks and training.
- Promotes communication and cooperation among teammates to create a spirit of unity in the department.
- Works closely with leadership and teammates to improve work relationships, build morale, and increase productivity and retention.
- Provides day-to-day performance management guidance to direct reports (e.g., coaching, counseling, career development, disciplinary actions).
- Up to 25% travel.
Desired Professional Skills and Experience:
- J.D. degree from an ABA accredited law school. Licensed to practice law and a member in good standing of a state bar association.
- 8+ years of corporate and transactional legal experience – specifically large M&A and IPO -- at a law firm and/or in-house position. Experience with healthcare industry and large M&A and IPO both in private practice and in-house are preferred.
- Experience with multi-site health care provider organization is preferred.
