Cytokinetics is a specialty cardiovascular biopharmaceutical company, building on its over 25 years of pioneering scientific innovations in muscle biology, and advancing a pipeline of potential new medicines for patients suffering from diseases of cardiac muscle dysfunction.Cytokinetics is seeking an experienced Director, Counsel, Corporate Securities & Governance Counsel to support public company SEC compliance, corporate governance, Board of Directors administration and strategic financial transactions. This role will serve as a key legal partner to Finance, Investor Relations, and Executive Leadership, ensuring compliance with U.S. securities laws and supporting capital markets activities. This position will report to the SVP, Deputy General Counsel and Corporate Secretary.
Key Responsibilities:
- Prepare SEC filings, including Exchange Act reporting (Forms 10-K, 10-Q, 8-K), proxy statements, and Section 16 filings
- Advise on disclosure controls and procedures, earnings releases, investor presentations, and investor communications
- Support capital markets transactions, including equity offerings, debt financings, and other programs
- Advise on corporate governance matters, including Board and committee support, charter documents, and corporate policies
- Partner closely with Finance, Accounting, Investor Relations, HR, and external counsel to ensure accurate and timely disclosures
- Monitor and advise on developments in securities law, SEC rules, and governance best practices
- Support insider trading compliance, equity compensation matters, and Rule 10b5-1 plans
- Assist with ESG disclosures and related governance initiatives, as applicable
Qualifications:
- J.D. from an accredited law school; active bar membership in at least one U.S. jurisdiction
- 8+ years of relevant Corporate Securities experience, including public company securities work
- Experience at a leading law firm and/or in-house at a publicly traded company; life sciences or biotech experience strongly preferred
- Deep knowledge of U.S. securities laws, SEC reporting requirements, and corporate governance
- Experience supporting capital markets transactions and interacting with senior executives and boards
- Strong drafting, analytical, and communication skills
- Ability to manage multiple priorities with a high degree of accuracy and judgment
