The Role at a Glance
The Vice President, Legal Contracts serves as a strategic legal advisor and thought leader, driving the development, negotiation, and execution of complex corporate contracts across the enterprise. This role provides expert counsel on high-impact agreements, leads critical negotiations, and ensures alignment with evolving legal standards in areas such as privacy, information security, and artificial intelligence. The person partners closely with senior leadership to mitigate risk, optimize contract lifecycle processes, and support enterprise-wide business objectives through innovative legal strategies and operational excellence.

What You'll Be Doing:
  • Provides expertise and in-house legal counsel in the preparation, review and negotiation of contracts. In-scope contracts generally cover the full breadth of goods and services which may be acquired by the company, including software-as-a-service contracts and managed service provider agreements.
  • Researches and maintains knowledge on current and emerging trends affecting all aspects of the contract lifecycle, including without limitation key legal developments relating to privacy, artificial intelligence, information security, and outsourcing.
  • Assesses the impact of new developments/trends affecting the contract lifecycle and collaborates with executive/senior management to incorporate those developments in current and future strategies.
  • Liaises between the internal business units and other internal/external stakeholders, ensuring that all legal and contractual matters are addressed efficiently and promptly to reduce company risk and help ensure business objectives are met.
  • Promptly responds to complex and time-sensitive requests and inquiries for their assigned area(s) of responsibility.
  • Provides thought leadership and influences senior management on strategies for reducing company risk while ensuring company and business unit objectives are met.
  • Develops, implements, and improves corporate contracting processes.
  • Collaborates with attorneys and other legal staff to proactively identify and address key legal issues.

What We're Looking For:
Must-Haves:
  • 12+ years of experience in legal contract review and/or Mergers & Acquisitions (M&A) contract work; preference for candidates who have significant expertise in the financial services and/or insurance sectors, directly aligned with the core responsibilities of this role.
  • Bachelor's degree and J.D. degree from an ABA-approved law school.
  • Effective verbal and written communication skills.
  • Strong interpersonal and relationship management skills.
  • Ability to adapt quickly in a changing work environment.
