A Biotechnology Research Company, an industry leader in animal model solutions, is looking for a Vice President, Legal and Corporate Counsel to join our innovative and growing company as a member of its Executive Leadership Team.

The Role: The Vice President Legal and Corporate Counsel will be a dynamic, collaborative leader who will drive our legal team. This strategic role ensures A Biotechnology Research Company acts in accordance with the law while supporting our aggressive growth plans by safeguarding access to the technologies required to develop and distribute highly specialized, genetically engineered research models and services related to such models. The individual leads the legal team in providing strategic guidance, consultation, and support to senior leadership and other managers on a comprehensive range of legal and associated issues involved in carrying out A Biotechnology Research Company's mission.

As the Vice President Legal and Corporate Counsel, you will focus on creating and executing a legal roadmap, evaluating, and enhancing our IP strategy and modernizing the legal operational effectiveness. Responsibilities:
  • Provides legal counsel and guidance to the officers of the institution and other managers on all legal matters relevant to A Biotechnology Research Company's business, including employment law, policies, intellectual property, licensing, procedures, rules and regulations, vender and customer contracts, liability and insurance matters, and other laws and regulations. Experience implementing a Contract Lifecycle Management system is a plus.
  • Anticipates and identifies legal issues and counsels officers of the institution and other managers to develop legal strategies and solutions, often in situations of great political, public relations, or financial risk or significance, and with limited time for assessing alternatives.
  • Reviews, researches, interprets, and prepares both written and oral opinions on a wide variety of legal issues.
  • Drafts, reviews, and approves policies and procedures, regulations, bylaws, and other legal documents.
  • Reviews contracts, leases, and other legal documents; research legal issues and recommends revisions as necessary.
  • Represents or oversees the representation in judicial and administrative proceedings, and in negotiations with business partners.
  • Designs, establishes, and maintains an organizational structure and staffing to effectively accomplish the organization's goals and objectives; oversees recruitment, training, supervision, and evaluation of unit staff.
  • Develops, implements, and maintains A Biotechnology Research Company's intellectual property portfolio and maintains licensing agreements for key external technologies.
  • Develops and manages annual budgets for the organization and performs periodic cost and productivity analyses.
  • Selects and retains outside counsel, as required, to obtain legal opinions or to handle claims and litigation.
  • Supervises legal work of other attorneys, paralegals, and outside counsel; consults on difficult or sensitive issues.
  • Provides training to the organization on various legal issues through seminars and meetings.
  • Maintains professional growth and development through seminars, workshops, and professional affiliations to keep abreast of latest developments in corporate law and in other related areas.
  • Performs miscellaneous job-related duties as assigned.
  • Supports the evaluation and due diligence process for company acquisitions and other partnerships.

Education & Experience:
  • J.D. from an American Bar Association accredited law school; at least 15 years of experience directly related to the duties and responsibilities specified.
  • Experience working in research, biotechnology or pharma industries is preferred. Strong interpersonal skills and ability to effectively communicate with teams across the entire organization.
  • Excellent leadership and decision-making skills.
  • Member of New York State Bar or eligible to be admitted for an inhouse limited license (PREFERRED), or member in good standing of the State Bar of another state or District of Columbia.
  • Legal Expertise:
    • Demonstrated ability to successfully manage a corporate or centralized institutional legal office.
    • Demonstrated ability to provide strategic legal counseling while also contributing as a hands-on lawyer working on more routine transactions.
    • Experience with working with businesses with operations and sales in Europe and Asia.
    • Ability to provide competent legal advice and counsel to senior leaders on a wide range of legal and policy issues.
    • Knowledge of the range of applicable laws and regulations which impact on all facets of company policy and operations.
    • Ability to analyze and interpret issues and to prepare legal opinions.
    • Experience navigating complex intellectual property environment.
    • Knowledge of current and developing legal issues and trends in area of expertise.
    • Ability to supervise and coordinate the work of legal professionals, paraprofessionals, and consultants.
    • Knowledge of the principles and procedures of legal research.
    • Knowledge of contract law.
    • Knowledge of legal documentation procedures and requirements.
    • Ability to develop and implement legal strategies and solutions.

The Details: This position will be primarily remote, with required in-person attendance at monthly leadership team meetings, typically held in Albany, NY. Qualified candidates will reside within an approximate 3hour drive to the NY sites (i.e. NY, RI, MA, CT, VT, NJ, etc.). Must be able to travel domestically and internationally by air/train/car and to meet with clients, collaborators, partners and attend industry meetings. Annual salary will be $250,000 - $290,000, exact compensation may vary based on skills, experience, and location.
