Vice President and Assistant General Counsel – Transactions at An Insurance Company

Our New York office at 30 Hudson Yards is looking to hire a Vice President to serve as the attorney advising on strategic institutional markets and fundraising transactions and corporate governance matters. This role is a newly created, and we are looking for someone with a vision that can effect change and ensure execution at the highest levels in a fast paced, iterative environment.

The Vice President and Assistant General Counsel – Transactions will provide legal and strategic advice for An Insurance Companys growing and dynamic insurance transactional business. The Vice President will work directly with the Institutional Markets business team in New York and Bermuda, as well as colleagues throughout the Legal team, in other An Insurance Company functional areas and with KKR, to advise a growing, dynamic and industry-leading business.

Responsibilities will include:
  • Advise internal clients in An Insurance Company's industry-leading institutional markets business
  • Lead and advise on structuring of multibillion dollar third-party capital vehicles
  • Develop capital solutions and new fundraising products for the insurance business
  • Lead corporate legal transactions, including M&A, strategic partnerships, joint ventures
  • Draft a wide range of transactions documents and supervising outside counsel
  • Develop and lead a comprehensive corporate governance program for insurance companies, in-line with best practices, including building out processes and improvements
  • Develop a strategy for managing US insurance regulatory requirements and filings
  • Present to and advise on corporate law to boards of directors and committees
  • Oversee and manage legal support staff

Qualifications:
  • Juris Doctor degree (JD)
  • 6+ years of experience in the field of law, with at least 4+ years at a law firm
  • Experience with life/annuity insurance industry
  • Familiarity with the Model Holding Company Act and insurance regulations
  • Deep knowledge of corporate governance best practices
  • Experience with the Securities Act, Investment Company Act and cross-border large capital raises and negotiation with investors
  • Experience independently, or leading a team, negotiating complex transactions
  • Superior negotiation and drafting skills
  • Superior ability to manage competing priorities of a variety of fast-paced, dynamic transactions
  • Superior communication skills and ability to communicate complex topics succinctly to senior business and legal team members
  • Desire to become subject matter expert with respect to a variety of matters
  • Superior judgment with ability to use independent judgment, think commercially, establish priorities, delegate, drive processes forward and work effectively on multiple initiatives concurrently
  • Ability to work with a geographically dispersed team
  • Capacity to consider, process and filter large amounts of complex information quickly and identify appropriate actions in a fast-paced environment
  • Ability to work across enterprise and present complex matters to senior business leaders
  • Experience presenting to the C-Suite and board of directors
  • Exceptional work ethic and high level of personal integrity and accountability
  • Willingness to travel periodically to international locations for transaction negotiations, including to Bermuda
