Davis Graham is seeking an outstanding mid-level Technology Transactions and Data Privacy Associate to join our highly regarded Intellectual Property & Technology Transactions Group. Ideal candidates should have three to five years of experience in technology transactions, data privacy, and related technology/IP matters, preferably at a large law firm. This position will principally advise clients on complex commercial technology transactions, as well as data privacy, cybersecurity, and artificial intelligence (AI) matters. The role will afford the incoming associate the opportunity to lead negotiations on sophisticated commercial transactions; structure innovative technology deals; advise on product development and commercialization strategies; and counsel clients on compliance with U.S. state and international privacy laws, the development and implementation of privacy programs, and evolving regulatory requirements.
Preferred candidates will have experience drafting, reviewing, and negotiating a broad range of commercial technology agreements, including software licensing, SaaS, cloud services, technology development, and other technology-driven commercial arrangements; and advising on technology issues arising in mergers, acquisitions, financings, and other strategic transactions. They will also have experience counseling clients on U.S. and international privacy laws (including state comprehensive privacy laws, the CCPA/CPRA, the GDPR, biometric, children's, and health privacy laws), developing and implementing privacy compliance programs, policies, notices, and governance frameworks, and advising on AI governance and data governance issues. All candidates should possess excellent drafting and negotiation skills, sound business judgment, and the ability to translate complex legal and regulatory issues into practical, business-oriented advice. Candidates should be comfortable interacting directly with clients, managing multiple matters simultaneously, and taking ownership of sophisticated transactions. ECVC experience and experience managing data breach investigations, incident response, and advising on cybersecurity matters is a significant plus, but not required.
Candidates must have excellent academic credentials and strong written and oral communication skills. Applicants should be entrepreneurial, team-oriented, and highly motivated to help us grow our practice and serve our clients. Candidates must have a J.D. from an accredited law school.
