We are seeking an Estate Planning/Tax Associate in our Downtown Sarasota office. This is a great opportunity for a highly motivated attorney who enjoys all aspects of estate planning to help maintain and grow an existing, well-established and connected client base.

Responsibilities:
  • Represent clients in legal matters primarily related to estate planning, trust and estate administration and related tax planning.
  • Meet with new and existing clients to analyze family structure and assets in light of estate planning goals.
  • Utilize knowledge in trust and estate and tax law to implement estate planning strategies such as wills, trusts, durable powers of attorney, and health care advance directives.
  • Create estate plans tailored for beneficiaries with special needs, creditors, or substance abuse issues and advise clients on structures designed to provide third-party control and other safeguards for such beneficiaries.
  • Advise families with multigenerational wealth including the analysis of irrevocable dynasty style trusts, prudent use of powers of appointment, and where appropriate decanting and other techniques to modify irrevocable trusts.
  • Address income tax issues in the context of estate planning, including stepped up basis, efficient lifetime gifting, and planning for IRAs and other income tax deferred assets.
  • Analyze estate and gift tax exposure and implement advance strategies to mitigate same including disclaimer style trusts, marital trusts, qualified personal residence trusts, irrevocable life insurance trusts, grantor retained annuity trusts, and spousal lifetime access trusts.
  • Develop business succession strategies including analysis of corporate structure, lifetime and testamentary transfers, and coordinate with and engage appraisers to minimize capital gains tax and transfer tax consequences.
  • Advise clients on philanthropic goals including establishing Donor Advised Funds (DAF), private foundations, charitable remainder trusts and similar techniques.
  • Advise clients on the benefits and disadvantages of formation, liquidation, domestication, conversion and reorganization of various business entities, including corporations, LLCs, partnerships and tax-exempt organizations.
  • Advise clients on various business organizations and how one or more may be implemented to achieve goals such as limiting personal liability, reducing tax exposure, supporting future generations, or continuing charitable giving.
  • Meet with and advise families throughout the estate and trust administration process including navigating probate, notifying, and satisfying creditors, negotiating family disputes, and streamlining asset transfers.
  • Administer taxable estates consisting of primarily agribusiness assets and requiring the use of advanced techniques such as qualified conservation easements and Section 6166 elections to defer payment of estate tax.
  • Coordinate with real estate department for the transfer and sale of real estate owned by estates and trusts and obtaining homestead orders from probate judge where necessary for property transfers.
  • Provide support to fiduciary litigation department for estates and trusts with active litigation related to undue influence, lack of capacity, fraud, and mistake of fact.
  • Prepare Forms 706, United States Estate (and Generation-Skipping Transfer) Tax Returns.
  • Prepare Forms 709, United States Gift (and Generation-Skipping Transfer) Tax Returns.
  • Coordinate with accountants on issues related to preparation of Form 1041, United States Income Tax Return for Estates and Trusts.
  • Coordinate work with legal assistants and paralegals.
  • Analyze state and federal law related to estate and tax planning and coordinate with colleagues to recommend a course of action.
  • Attend continuing legal education functions to stay abreast of changes in relevant areas of state and federal law and advise colleagues on same.
  • Participate in legal transactions involving business tax and business transactions involving limited liability companies and corporations.
  • Participate in legal transactions involving international tax and multi-jurisdictional estate planning.
  • Perform administrative and management functions related to the practice of law.

Qualifications:
  • Juris Doctor (JD) Degree
  • Master of Laws (LLM) degree in Taxation
  • 2+ years legal experience in estate planning
  • Strong academic credentials
  • Experience working with high-net-worth clients
