Lathrop GPM is actively seeking a Tax Associate to join our growing Business Transactions practice group in our Kansas City or Minneapolis office. An LL.M. in Taxation is required.The ideal candidate will have strong academic credentials, exceptional analytical and writing abilities, excellent client service skills, outstanding interpersonal and problem-solving skills, and the ability to work in a collaborative environment. Experience advising clients regarding federal income taxation, entity selection and formation, corporate governance, contract drafting, and business reorganizations is preferred.
The successful candidate will demonstrate intellectual curiosity, sound judgment, attention to detail, and a commitment to providing exceptional client service while developing expertise in tax and business transactions law. Candidates must have a Missouri or Minnesota bar license, corresponding with the office to which they are applying, or commit to obtaining one as soon as possible.
Key Responsibilities:
- Advise clients on federal income tax matters and related business considerations.
- Assist with entity selection, formation, and organizational structuring.
- Draft, review, and negotiate contracts, business agreements, and transactional documents.
- Support corporate reorganizations, restructurings, and other business transactions.
- Conduct legal research and prepare memoranda regarding tax laws, regulations, and developments.
- Analyze tax implications of transactions and provide practical recommendations to clients.
- Collaborate with attorneys across practice groups to deliver comprehensive legal solutions.
- Participate in client meetings, due diligence efforts, and ongoing client counseling.

The anticipated initial annual salary range for someone who is hired into this position is $180,000 – $210,000. Actual initial salary may be above or below the above-identified range and will be based on the relevant skills, training, experience, and other job-related factors, including the location where the position is filled, in all cases consistent with applicable law.
