Description:Position Overview:
The Senior Vice President, General Counsel & Corporate Secretary (“General Counsel”) is Ollie's chief legal officer and a key member of the Executive Leadership Team, reporting directly to the CEO. This leader provides strategic legal and business guidance across all major functions—including governance, public company reporting, commercial transactions, real estate, compliance, litigation, labor and employment, regulatory matters, marketing, I.T., and risk management.
The General Counsel also serves as Corporate Secretary, partnering closely with the Board of Directors on governance, disclosure, and fiduciary matters. This role requires a seasoned attorney with deep public company expertise and experience supporting complex, national multi-unit businesses. The General Counsel is a hands-on, forward-looking partner who helps shape Company strategy, strengthens compliance and governance, and supports scalable growth.
Primary Responsibilities:
Strategy & Executive Leadership
- Serve as a strategic advisor and business partner to the CEO, Executive Leadership Team, and Board of Directors.
- Contribute to Company strategy, growth initiatives, and long-range planning.
- Develop and lead corporate legal strategy aligned to business needs and public company obligations.
- Advise on laws, regulations, and governance matters that impact business operations and strategic direction.
- Partner with functional leaders (e.g., advertising, distribution, finance, HR, I.T., merchandising, store operations, real estate, compliance) to integrate legal insight into decision-making.
- Serve as Corporate Secretary, overseeing Board governance, meetings, minutes, and shareholder-related documentation.
- Lead the annual shareholder meeting process and annual proxy statement preparation.
- Oversee SEC, Nasdaq, and state regulatory filings, ensuring accuracy, timeliness, and strategic alignment.
- Collaborate with finance and other functions on continuous disclosure and periodic reporting obligations.
- Lead legal strategy and execution for mergers and acquisitions, asset purchases, and real estate transactions.
- Oversee a broad portfolio of commercial agreements (procurement, technology/I.T., marketing, logistics, software, NDAs, master service agreements, construction/lease agreements, and others).
- Ensure that commercial activities support business objectives while mitigating risk.
- Advise senior leadership and the Board on legal, litigation, and regulatory risks associated with business decisions.
- Anticipate collateral issues and resolve disputes proactively where possible.
- Develop solutions to complex legal questions and ensure ongoing compliance with applicable laws.
- Maintain legal records, proceedings, and corporate policies.
- Lead, mentor, and develop the in-house legal team, including attorneys, paralegals, and administrative staff.
- Manage outside counsel to ensure high-quality, cost-effective representation.
- Support development of scalable systems, processes, and structure to match the Company's growth.
- Provide legal input into operational decisions and cross-functional initiatives.

Qualifications:
- 15+ years of relevant legal experience, ideally from a well-regarded law firm and as a general counsel or senior legal executive within a public retail or consumer-oriented organization.
- Public company governance expertise, including securities law, continuous disclosure, and advising senior management and Boards.
- Industry insight gained from national, multi-unit, multi-state retail or similar high-complexity environments.
- Broad corporate legal experience across governance, securities, M&A, commercial agreements, litigation, labor and employment, regulatory matters, real estate, IP, privacy, tax, and compliance.
- Established advisor to CEOs and Boards, with a track record of sound business-minded counsel.
- Leadership experience building and developing legal teams and managing outside counsel.
