Summary (Basic Purpose of the Job) and Essential Duties:Assists the Chief Legal Officer (CLO) and Deputy General Counsel – Strategy & Transactions (DGCST) with providing legal services to the strategy and governance functions of A Region's Leader in Providing Progressive, Quality Patient Care Company, a dynamic and growing non-profit healthcare system based in Trenton, New Jersey. Primary governance duties include working with the CLO, DGCST, system executives and staff to coordinate board calendars and board packet creation and transmission for over 20 corporate entities. Drafts and manages articles of incorporation, bylaws, operating agreements and other organizational documents as well as corporate filings for wholly-owned and joint venture entities. Prepares board resolutions, presentations and minutes, and supports delivery to executives and boards. Tracks and advises CLO and DGCST on corporate governance developments and guidance. Primary strategy duties include conducting industry and market research and updating CLO and DGCST on developments. Assists the CLO and DGCST with developing legal strategy for mergers, acquisitions, divestitures, joint ventures and other transactions, and preparing related presentations and board resolutions. Performs all manner of transaction-related tasks, including due diligence, agreement and document preparation, obtaining board and regulatory approvals, task tracking, file management, and providing legal services in support of transaction closing, implementation and integration. General duties include working with CLO, DGCST and system management to provide legal advice and services on a range of matters within her/his general practice areas (including drafting and negotiating agreements, supporting transactions of various natures, assisting in analysis and mitigation of related compliance issues, identifying new or emerging areas of risk, and conducting or overseeing legal research). Provides legal advice and services to system management and affiliated corporate entities for a wide range of operational initiatives and health care legal and regulatory compliance issues that have a significant impact on patient care and business operations. Protects A Region's Leader in Providing Progressive, Quality Patient Care Company's rights in contract negotiations, settlements and litigation. Performs other duties as assigned.

Minimum Requirements:
Education: Juris Doctorate from an accredited law school.

Licensure: New Jersey Bar membership is preferred. Membership in at least one state bar with the ability to qualify to practice in New Jersey is required.

Experience: At least three (3) years of health care transactional and regulatory experience either in-house with a health care provider or in a law firm that services health care provider clients.
