A day in the life:
This position has the responsibility to provide and manage internal and external legal resources for complex business development-related transactions, including acquisitions, divestitures, joint ventures, minority investments, fund formation, non-M&A business development programs and arrangements and other complex transactions. Support the Medtronic Corporate Development function, Operating Units and Regional Business Units to timely and effectively structure and complete Medtronic acquisitions, divestitures, joint ventures, minority investments, fund formation and other complex business development-related transactions. Mentor, train and supervise junior members of Business Development Legal COE team in connection with transactional work and other function-specific projects.
This position will report to the VP Corporate Securities Counsel and Assistant Secretary.

This position will reside at our Operational Headquarters in Fridley, MN.
Responsibilities may include the following and other duties may be assigned:
- Provides legal advice, counsel and service to internal business and legal clients concerning global corporate development initiatives, including mergers, acquisitions, divestitures, joint ventures, minority investments, and complex commercial agreements.
- Manages the team of experienced M&A lawyers and legal professionals that supports global corporate development initiatives at Medtronic.
- Drafts and reviews and comments on contracts involving M&A and ancillary agreements as well as complex commercial contracts including lease, license, distribution, supply, development, co-marketing, and other agreements and related matters.
- Keeps current on legislative and market developments, trends, issues, statutes, decisions and ordinances of quasi-judicial bodies.
- Examines legal data to determine advisability of defending or prosecuting lawsuit.
- Acts as an agent of corporation in various transactions.
- Advises company regarding concerns on risk assessment and anti-trust regulations.
- Must have admission to practice law.
- Develops, reviews, and implements company-wide and/or functionally specific training programs.
- May also oversee corporate governance matters and its various committees.
- May work with and manage outside counsel to direct activities supporting corporate development initiatives.
- All other duties as assigned.
- Juris doctorate from a nationally recognized American law school
- Licensed to practice law and in good standing under the Bar of at least one American state.
- 13+ years of experience in M&A minority investment transactions with 10+ years of managerial experience.

- Extensive experience with M&A and minority investments transactions.

- Ability to manage numerous complex projects.
- Strong communication skills, including the ability to convey complex legal and transactional concepts/issues clearly and succinctly.

- 10+ years of experience at top law firm.

Salary ranges for U.S (excl. PR) locations (USD):$234,400.00 - $351,600.00
This position is eligible for a short-term incentive called the Medtronic Incentive Plan (MIP).
This position is eligible for an annual long-term incentive plan.
The base salary range is applicable across the United States, excluding Puerto Rico and specific locations in California. The offered rate complies with federal and local regulations and may vary based on factors such as experience, certification/education, market conditions, and location. Compensation and benefits information pertains solely to candidates hired within the United States (local market compensation and benefits will apply for others).
