Description:

Reporting to the General Counsel, the new Legal Counsel will be involved in all aspects of Renewable Power Solutions legal function and interact with all areas of the business.

Responsibilities:
  • Provide legal advice and support on a wide range of legal and business issues relating to Renewable Power Solutions portfolio of hydroelectric, wind, solar and storage assets
  • Working collaboratively and productively with lawyers and professionals within our businesses and externally to achieve successful outcomes and execute transactions
  • Managing and executing project level transactions, such as project financings (bank debt, private placement, tax equity), greenfield development projects, asset sales and acquisitions, and providing legal advice in relation to various other project level matters
  • Preparing and reviewing agreements, instruments and other documentation, including credit agreements, non-disclosure agreements, procurement and construction agreement, purchase and sale agreements and other legal documents, and working with the operations, project development, investments, corporate finance and treasury teams
  • Supervising external litigation counsel and leading settlement discussions
  • Providing legal advice in relation to corporate secretarial matters of certain of our subsidiaries
  • Assisting in developing and implementing legal policies, processes, and standards, including risk management strategies, policies and compliance programs

Qualifications:
  • At least three (3) years of high quality corporate legal experience at a top law firm or large multinational corporation
  • A university/college degree (LLB or JD) in law and member in good standing of a state bar
  • Experience with transactions within the power sector or other infrastructure sectors would be considered an asset
