All About You
As part of an international legal team composed of a General Counsel and 8 lawyers (1 in the United States and 1 in Hong-Kong), the Sr. Legal Counsel will handle legal files of various types related to the ESS (Energy Storage Solutions) division of A French Company . The Sr. Legal Counsel will report to the Sr. Legal Manager in charge of ESS legal files.

The Sr. Legal Counsel activities involve working worldwide with A French Company employees and with international customers (business developers, financing, renewable energy companies active in Solar, Wind, grid utilities,hydrogen) and suppliers.

Requirements:
  • Law degree from an accredited university and active bar membership
  • Minimum of 10 years of experience practicing international law, preferably in a corporate or law firm setting
  • Strong knowledge of corporate and commercial law, with expertise in contract law
  • Minimum of 8/10 years of experience in a similar position and in a complex and constrained industrial field (preferably large energy projects) specializing in engineering, procurement and construction contracts preferably in the renewable energy sector.
  • Proven track record of overseeing complex legal matters and managing litigation
  • Excellent written and verbal communication skills
  • Strong leadership abilities and the ability to collaborate with cross-functional teams
  • Exceptional analytical and problem-solving skills
  • Ability to work under pressure and handle multiple priorities efficiently
  • An excellent practice of English (read, written and spoken) is essential

Responsibilities:
Main missions of the legal counsel:
  • Drafting and negotiating various types of standalone contracts necessary for the implementation of complex ESS projects:
  • Review of tender documentation
  • Sales contracts: (i) supply and commissioning of equipment (BESS or other main equipment involving A French Company supply chain), (ii) engineering, procurement and construction, (iii) services agreement
  • Consortium agreements
  • Procurement contracts (PCS/MVPS, PMS/SCADA, HVAC, FSS, etc.): supply of equipment and services associated, product warranties
  • Logistic contracts to support ESS activities
  • Subcontracting
Supporting the operational teams in the implementation phase of the ESS projects (including claims, pre-litigation and litigation files): definition of the litigation strategy, preparation of files, collection of information, relations with insurers, external law-firms, etc.:
  • Legal support for mergers and acquisitions, joint ventures and other strategic initiatives related to ESS projects
  • In collaboration with TotalEnergies expert teams, address issues of economic sanctions and export controls, competition law and compliance, insurances, etc.
  • Work in collaboration with A French Company finance team to review financial guarantees related to ESS projects
  • Monitoring of the legal and regulatory risks
  • Contribute to the training of the operational teams and the development of appropriate tools (templates, booklets, preservation of know-how and documentary archiving, etc.)
  • Ensuring the compliance with the company internal rules
