Senior Legal Counsel provides legal support, advice, and other legal assistance as directed by the General Counsel (GC). This position may also provide counsel to management within the company and coordinate with outside legal counsel. This position is also responsible for supporting the company's North America compliance functions.
Responsibilities and Duties:
Essential duties include:
- Corporate governance, including maintenance of corporate books, records, and registrations for the BWC family of companies in North America, incorporation and dissolution of companies as directed by GC.
- Support corporate transactions such as joint ventures, mergers, acquisitions, and divestitures as directed by the GC.
- Support corporate finance activities, including Credit Agreement amendments and compliance.
- Draft, negotiate, and review a variety of commercial contracts with customers and suppliers, non-disclosure agreements, Master Service Agreements, and other agreements for the company's operations in North America.
- Support corporate compliance efforts for North America, including tracking and conducting employee training, screenings of third parties, investigating compliance allegations, and conducting annual compliance reviews.
- Assist with litigation management, risk management, and other general legal matters.
- Identifying and researching areas of legal and contractual risk and preparing a course of action and recommendations to minimize risk.
- Providing litigation management and support for the company's North America operations, including negotiating contractual and legal disputes on behalf of the company; and
- Supporting all of the company's North America compliance functions and efforts.
- Review and negotiate commercial contracts.
- Address and resolve general legal matters.
- Liaise with outside legal counsel when necessary.
- Review and approve legal invoices in conjunction with the GC.
- Address and resolve compliance allegations; and
- Resolve issues regarding corporate records and registrations.

To succeed in this role, candidates should demonstrate the following:
- JD from an accredited U.S. law school and bar membership in good standing in any state (Texas preferred).
- Minimum 4-9 years of experience with corporate and/or contractual law in a well-regarded law firm and/or in-house legal department
- Prior exposure/experience with M&A, joint ventures, and/or corporate finance (preferred).
- Excellent written and verbal communication skills.
- Highly proficient with all Microsoft Office products and Adobe
- English fluency required
- Self-motivated, detail-oriented, and able to work in a team setting.
- Excellent analytical and problem-solving skills.
