What You'll Do:
Reporting to the Chief Legal Officer, the Senior/Director, Intellectual Property, Contract and Licensing Counsel is responsible for IP strategy and licensing/transactional support. This role manages global patent and trademark portfolios, supports due diligence and business development, and drafts and negotiates IP and related agreements.

This is a remote role with travel to the office in New Providence, NJ as needed.

Responsibilities:
  • Manage/oversee ADCT's global patent and trademark portfolios.
  • Coordinate and manage interactions with external patent and trademark counsel and oversee IP budget.
  • Provide legal advice and support to organization for all IP-related matters.
  • Draft, review, revise and, negotiate a variety of contracts, including but not limited to, in- and out-license, material transfer, confidentiality, development and manufacturing, services, and other supply chain agreements.
  • Provide general legal advice and support for business development, strategic partnerships, and corporate transactional activity as needed.
  • Prepare and review certain other legal documents, e.g. powers of attorney, IP assignment agreements, etc.
  • Other duties assigned by the Chief Legal Officer.

Requirements:
Who You Are:
  • J.D. from an accredited ABA law school.
  • Licensed to practice law in good standing in at least one U.S. jurisdiction.
  • Registered to practice before the USPTO preferred.
  • Minimum 7-10 years of legal experience with at least 5 years direct and relevant experience working in-house at a pharma/biotech company or experience with a law firm with direct client exposure to life sciences companies.
  • Basic understanding of patent law, including drafting and claims construction, freedom-to-operate analysis, patent application maintenance, and IP due diligence. A strong IP strategist with a comprehensive IP skill set and experience across filing, prosecution, licensing, contracts and litigation is preferred.
  • Strong transactional experience, including drafting/negotiating in- and out-license, material transfer, confidentiality, development and manufacturing, services, and other supply chain agreements.
  • Sound, practical and strategic business judgment, strong analytical skills, and problem-solving ability.
  • A fast learner with the ability to adapt quickly to new environments and responsibilities.
  • Ability to work independently with little supervision, but with good judgment to know when to involve others or ask for guidance.
  • Ability to prioritize matters and meet deadlines in a fast-moving environment.
