Senior Counsel, Strategic Transactions
Location: Richmond, VA, USA - 9954 Mayland Drive (hybrid)

The McKesson Medical-Surgical Inc. (MMS) Legal Department is seeking a mid-level attorney to support a broad range of corporate transactions and strategic legal matters, including capital markets transactions, M&A, treasury and financing matters, and bankruptcy-related issues.
This role is well suited for an attorney who has strong corporate transactional experience, sound judgment, and the ability to coordinate complex matters across internal teams and outside counsel. The attorney will not be expected to independently handle every specialized aspect of these workstreams; rather, the successful candidate will be expected to exercise sound judgment in identifying legal issues, managing complex workstreams, coordinating internal stakeholders, and leveraging outside counsel and subject matter experts where appropriate.
The role reports to the Managing Principal Counsel, Corporate Governance & Strategic Transactions. This role is critical to MMS's transition to a standalone company and this attorney will provide strategic, practical legal counsel and project support across a range of corporate transactions and strategic legal matters, including capital markets transactions, M&A, treasury and financing matters, and bankruptcy-related issues. The successful candidate will help identify legal issues, manage internal processes, coordinate with business and legal stakeholders, and effectively leverage outside counsel.
What You'll Do:
- Capital Markets, Treasury and Financing Support. Provide legal support for capital markets, treasury, and financing activities, including debt offerings, credit facilities, liquidity initiatives, share repurchase programs, swaps, financing arrangements, and other strategic financing transactions, working in partnership with internal stakeholders, and outside counsel as appropriate.
- M&A and Strategic Transactions. Lead legal workstreams for acquisitions, divestitures, joint ventures, investments, and other strategic transactions, including transaction planning, due diligence, legal risk assessment, internal approvals, transaction documentation, closing coordination, and post-closing integration or separation activities in partnership with internal stakeholders, and outside counsel as appropriate. Support enterprise-wide strategic initiatives associated with MMS's separation and transition to an independent public company.
- Bankruptcy and Credit Matters. Provide support on bankruptcy, credit, and distressed counterparty issues that may affect corporate transactions, financing arrangements, commercial relationships, or strategic initiatives, in coordination with senior legal leaders and outside counsel.
Minimum Requirements:
- Juris doctor degree or equivalent
- 4+ years relevant experience practicing as an attorney with mid-level corporate transactional experience, preferably including capital markets, M&A, financing, bankruptcy, or other complex corporate matters
- Admitted to practice before a state bar, with active license in good standing

- Proficiency in communicating with and providing clear, practical counsel to business leaders.
