Senior Manager, Senior Counsel – Corporate and Strategic Transactions

The team:
CAST (Corporate and Strategic Transactions) is a team within Capital One's Legal Department that is at the tip of the spear in executing on Capital One's transactional activity, including mergers & acquisitions, strategic investments, complex procurement and outsourcing contracts, line of business transactions, card programs, and corporate real estate transactions. In addition, the diverse group of attorneys and other legal professionals within CAST advise our diversified businesses on a broad range of business matters in a constantly changing, stimulating and collegial environment. The Role:
The Senior Manager, Senior Counsel in the role will be responsible for the following:
  • Assisting in managing (including drafting and negotiating) a wide range of transactions: mergers and acquisitions, Venture capital investments, and supporting the transactional needs of our Premium Products team, including our Capital One Travel, Capital One Dining, and Velocity Black businesses, such as travel inventory agreements, incentive agreements, and license agreements.
  • Working with complex due diligence reviews, business line partnerships, portfolio sales and acquisitions, alliances and other business agreements, marketing agreements, airport lounge agreements, and complex procurement and outsourcing contracts
  • Counseling and advising business groups, including providing legal advice on complex legal issues
  • Implementing and monitoring repeatable, controlled processes for transactional work
  • When necessary, managing and coordinating outside counsel, including management of the delivery of services and cost

The Person:
The successful candidate will be a seasoned legal professional with proven ability to operate effectively in a complex, highly regulated, and evolving environment. The candidate will have a demonstrated ability and willingness to work as a team player, interacting with associates across departments and job levels; the ability to work in a fast-paced environment with minimal supervision; strong organizational skills with impeccable attention to detail; excellent analytical, verbal and written communication skills; and the ability to work cooperatively with internal constituents to create efficient processes and to get issues resolved across organizational boundaries.

Exceptional drafting and negotiation skills and the ability to identify, lead and manage a negotiation team as well as the ability to manage multiple transactions, take on new responsibilities and handle novel issues are critical.

Basic Qualifications:
  • Juris Doctor from an accredited law school
  • Active member in good standing of at least one state bar with the ability to register as Corporate Counsel in Virginia
  • At least 4 years of experience in a law firm, government or an in-house legal department, or a combination, with a focus on corporate and strategic transactions (private and public mergers and acquisitions, venture capital investments, portfolio and other asset sales and acquisitions, credit card partnerships, credit card association agreements, or marketing alliances).

Preferred Qualifications:
  • Experience, including drafting and negotiating, across a wide range of commercial transactions including in-house procurement or supply chain management transactions, and marketing arrangements
  • Experience providing advice and counsel on transactions to clients in the travel or financial services industry
  • Ability and desire to learn new areas of law
  • Experience with Google Workspace

The minimum and maximum full-time annual salaries for this role are listed below, by location. Please note that this salary information is solely for candidates hired to perform work within one of these locations, and refers to the amount Capital One is willing to pay at the time of this posting. Salaries for part-time roles will be prorated based upon the agreed upon number of hours to be regularly worked.

McLean, VA: $200,700 - $229,100 for Sr. Manager, Sr. Counsel

Richmond, VA: $182,500 - $208,300 for Sr. Manager, Sr. Counsel
