About This Role:
A Publicly Traded Information Security Company is seeking a full-time Senior Counsel, Public Sector to manage the legal support of the company's public sector business, negotiate commercial agreements with customers, prospects, and partners, and work independently with senior management, sales executives, and other departments within the company. This person may also support other areas of the business and assist with projects as needed. This position will report to A Publicly Traded Information Security Company's VP Legal, Global Go-to-Market and may require limited domestic and international travel.

What you will do:
  • Manage and oversee all legal support for A Publicly Traded Information Security Company's public sector business and sales transactions, including US Federal and State, Local, & Education (SLED)
  • Manage and negotiate multi-jurisdictional sales transactions for both public sector and commercial customers: SaaS, software licensing, services, resale and distribution, and related documents such as data privacy and security agreements
  • Formalize and implement a public sector compliance program and relevant policies, while staying up to date on applicable laws and regulations, including US Federal and state acquisition and contracting processes, rules and regulations
  • Advise A Publicly Traded Information Security Company's product and technical teams on relevant product certifications, frameworks, and standards such as FedRAMP, NIST, CMMC and Common Criteria
  • Support various departments throughout the organization as needed, such as business development, marketing, and finance
  • Manage and negotiate vendor agreements, and support procurement processes

What You Need to Succeed:
  • J.D. from an accredited law school and a member in good standing of a U.S. state bar
  • 7+ years as a licensed attorney, at least 5 years of which were spent in-house supporting a public sector business, preferably at a global technology company
  • Proven experience in negotiating, drafting and advising clients on commercial law and government contracts, including multi-jurisdictional technology transactions (including software licensing and SaaS)
  • Experience supporting indirect sales, including negotiating channel partner agreements, FAR/DFARS/agency-specific flowdowns, and government contract vehicles, such as GSA, SEWP, and NASPO
  • Expertise on government acquisition and cybersecurity rules, regulations and standards, including FAR, DFARS, FedRAMP, and NIST
  • Creative and pragmatic thinker, who can provide excellent service to clients, think proactively and strategically, and establish a “trusted advisor” relationship with internal stakeholders

  • Ability to work independently with minimal supervision, motivated self-starter
  • Experience with Foreign Ownership, Control, or Influence (FOCI) issues and supply chain risk management an advantage
