Overview:
This is a full-time career opportunity that can be hybrid within the Fulton Bank footprint as follows: DC, DE, MD, NJ, PA, VA.

This key role provides advice and counsel on legal matters involving Fulton Financial Corporation and its subsidiaries, specifically including, but not limited to, commercial lending activities.

Responsibilities:
  • Conduct legal research in response to legal inquiries regarding federal and state laws or regulations affecting the operation of a multi bank, multi state financial holding company. Keeps informed of applicable legislation, regulations and other legal developments affecting the operation of the Corporation and its subsidiaries. Drafts, reviews and negotiates legal documents involving the interests of the Corporation and its subsidiaries.
  • Provides legal advice and counsel verbally and in writing to directors, officers and employees of the Corporation and its subsidiaries. Advises the Corporation and its subsidiaries of the requirements of applicable Federal and state laws and regulations. Informs appropriate areas and or employees in the Corporation of relevant new and amended legislation and regulations. Works proactively with Corporation and subsidiary officers to develop and modify practices and procedures to conform to applicable regulations, legal requirements and corporate policies. Serves on or provides legal advice to various corporate task forces and initiatives.
  • In consultation with the general counsel or deputy general counsel, exercises discretion in determining what legal work will be delegated to outside counsel. Actively manages outside legal counsel by being involved in and directing all key strategic and substantive actions in significant legal matters for which they are responsible. Also, manages the costs of outside legal services by actively managing the legal services and, where appropriate, using alternative fee arrangements or project budgets for outside legal services.
  • Manage assigned litigation matters and ensures that the Corporation and or its subsidiaries are adequately represented. Works effectively with regulators, other legal counsel, and other outside parties in order to promote the Corporation's and or its subsidiaries' business objectives. Keeps the general counsel and or deputy general counsel, as well as other appropriate officers in the Corporation apprised of the status of all legal matters being worked, whether in house or assigned to outside counsel. Work independently on assigned matters with minimal supervision. Responsible for ensuring that the required services are provided in a timely manner.
  • Conduct or support due diligence and integration work associated with mergers and acquisitions, purchases or sales of branch locations and other similar fundamental transactions.
  • Provide guidance and mentoring to less experienced attorneys.

Qualifications:
Education:
Doctor of Jurisprudence Degree. Specialty: From an American Bar Association accredited law school. (Required)

Experience:
10 or more years Relevant legal as an attorney in a law firm or in-house capacity. Must be a member in good standing of, the bar of at least one jurisdiction where the Corporation or its banking subsidiaries have operations, or the State of New York or the District of Columbia. Must be able to convey thoughts and information verbally and in writing in a clear and concise manner. Ability to identify, analyze and provide advice and counsel on complex legal issues, including the ability to make recommendations on significant corporate matters. Ability to understand business needs and desired results and to apply applicable laws and regulations to this business understanding in order to render useful and timely advice to the Corporation so that its business objectives can be achieved in a manner that is in compliance with applicable laws and regulations. Possess and have the ability to effectively exercise sound legal and business judgment. (Required)

This includes but is not limited to, understanding and identifying compliance risks impacting their department(s), ensuring compliance with applicable laws or regulations, and escalating compliance risks to the appropriate level of management.

Specific compensation offered will be determined based on a combination of factors including the candidate's knowledge, skills, depth of work experience, and relevant licenses/credentials. The salary range may vary based on geographic location.

The salary range for this position is $143,100.00 - $238,500.00 annually.
