Responsibilities:
As part of a small legal team, you'll lead A Computer Software Company's commercial legal function and report directly to A Computer Software Company's Head of Legal. This is a high-growth, interdisciplinary position. We believe our attorneys add tremendous value to the company, but they cannot give good legal advice in a vacuum. You'll be plugged into all aspects of our business and it's important that you are interested in and become immersed in our business and products. We use cutting-edge Artificial Intelligence to help human drivers be safer on the road, so an undergraduate degree in engineering or computer science is a definite plus.

This is what you will do at A Computer Software Company:
  • Lead A Computer Software Company's commercial legal function.
  • Drive execution efficiently on a wide variety of both inbound and outbound relationships.
  • Counsel company executives and other internal stakeholders on contract-related matters.
  • Collaborate with business and technology staff to achieve business objectives in a legal and ethical manner.
  • Work cross-functionally with product, engineering, data, sales, and business development in supporting the development, delivery, and commercialization of products in a fast-paced and hands-on environment.
  • Develop company policy and positions on legal issues.
  • Manage outside counsel.
  • Continuously improve A Computer Software Company's technology and commercial transactions.

Experience and Skills:
These are the general experiences and skills we are looking for:
  • You are a transactional generalist, with extensive experience working on complex IP licensing and commercial agreements across a variety of business models (hardware, software, and cloud combination offerings, pure SaaS, data monetization, etc.).
  • You understand (or will quickly learn) the business deal so you know what matters and what doesn't.
  • You are passionate about helping companies strike the right balance between risk and reward, and employ a practical and customer-centric orientation and negotiation style.
  • You are resourceful, creative, solution-oriented and take the initiative for (i) drafting and negotiating contracts and (ii) driving matters to completion.
  • You understand how to translate business needs into contract language and remove roadblocks.

Minimum Requirements:
These are the minimum qualifications that we believe are necessary for the position:
  • 6+ years of technology transactions legal experience, of which at least two years were in a top-tier law firm, preferably working with technology companies. A mix of general corporate (startup) and technology transactions experience is a plus.
  • 1+ years of non-legal work experience prior to law school, preferably in a for-profit technology company.
  • You have a JD degree from an ABA-accredited law school and an active membership in at least one US state.

Key Responsibilities:
  • Oversee all corporate legal matters, fundraising, and commercial transactions.
  • Draft, review, and negotiate complex contracts with Fortune100 fleets, automotive manufacturers, insurance companies and channel partners.
  • Provide legal advice on a wide range of corporate legal issues, including corporate governance, regulatory compliance, and risk management.
  • Work closely with our executive team on strategic initiatives, including corporate financing and business development opportunities.
  • Advise on the legal aspects of strategic business decisions and transactions.
  • Collaborate with outside counsel as necessary.
  • Ensure compliance with laws, regulatory requirements, and corporate policies in the US, Japan and other international countries A Computer Software Company enters.
  • Develop and implement corporate legal strategy and legal risk management.

Required Qualifications:
  • Juris Doctor (JD) degree from an accredited law school.
  • Licensed to practice in California.
  • A minimum of 7 years of experience in a corporate legal role, preferably in a startup or tech-focused environment.
  • Proven experience in corporate financing, and commercial transactions.
  • Strong understanding of corporate law, contracts, and licensing.
  • International experience, technical background in software or AI.
  • Law firm experience, a plus.
