Position Summary: The Senior Corporate Counsel – Corporate Services (Real Estate) is responsible for providing real estate legal advice and transactional support for the Company's real estate portfolio. Senior Corporate Counsel provide legal services and play a critical role supporting the Company's operations in the environmental services industry throughout the United States and Canada.

Principal Responsibilities:
  • Provides legal and professional support to Company personnel regarding all aspects of real estate matters for the Company's operations (real estate, construction, and facilities management transactions, land use and development).
  • Reviews, drafts, structures, and negotiates complex transactional documents, including real estate purchase and sale documents, lease documents, easements, construction agreements, sales in lieu of condemnation, nondisclosure agreements, term sheets and letters of intent.
  • Reviews and analyzes title reports, surveys and other due diligence.
  • Drafts and contributes to reports for the Company's Chief Legal Officer and senior management.
  • Manages outside counsel, legal budgets and spend.
  • Collaborates with other members of the legal department, providing real estate subject matter expertise.
  • Provides guidance on compliance and training to management, corporate and field personnel.
  • Assists with drafting form agreement templates, and creation of processes and procedures.
  • Performs special projects in support of the legal team's goals and Company initiatives.
  • Overnight travel may be required.
  • Performs other job-related duties as assigned or apparent.

Qualifications:
  • At least 10 years of experience performing the types of legal work identified above (industrial and commercial experience preferred).
  • Experience working in a large, multi-state corporate or legal environment; or as in-house counsel.
  • Excellent judgment; high integrity; and strong collaboration skills.
  • Knowledge of federal, state, and local statutes and regulations applicable to publicly-traded organizations.
  • Outstanding written and oral communication skills as well as organizational and time management skills.
  • Outstanding legal drafting skills.
  • Proven ability to manage and prioritize a high volume of diverse real estate transactions in a fast-paced environment.
  • Able to identify and evaluate legal risks, recommend and develop solutions, and problem solve in support of the Company's business goals.
  • Ability to independently make decisions regarding complex legal issues and drive transactions to a successful conclusion.

Minimum Qualifications:
JD; licensed to practice law and in good standing

Minimum of seven years of experience as a practicing attorney
