The Sr. Corporate Counsel is responsible for a variety of legal business matters that range from developing legal terms, managing claims and litigation, overseeing contract guidelines/review of corporate counsel, negotiating vendor terms, managing and administering equity programs and advising the organization on appropriate legal action to be taken.

How you'll make an impact
  • Working with corporate in-house counsel, draft, review and negotiate legal and commercial documents and contracts, including master services agreements, RFPs, non-disclosure agreements, purchase agreements, reseller agreements, leases, and employment agreements.
  • Coordinate results of such documentation reviews with sales representatives, department directors and help negotiate satisfactory outcomes with client and partners.
  • Works closely with outside counsel and with many of the company's other in-house lawyers, sales, operations and finance staff, as well as service delivery teams
  • Oversees legal equity database and administration of company stock option grants
  • Represent the organization on legal matters as assigned.
  • Perform factual and legal research and analysis, draft and review contracts, data privacy and protection, employment agreements, and other legal correspondence.
  • Advise executives on potential legal ramifications of proposed organizational policies and procedures. Protect the organization's rights in its interactions with external parties.
  • Oversees company's legal response in job related workplace disputes or claims of employer wrongdoing (e.g., wrongful termination, contract disagreements, unemployment issues, and discrimination)
  • Responsible for a broad array of legal matters, which may include: regulatory, employment, insurance claims, business development, contracts, mergers & acquisitions, real estate, data privacy and protection, environmental, litigation, and commercial issues
  • Oversees our Equity and insurance Portfolio program
  • Assisting the General Counsel in preparing A Cyber Advisory and Solutions Leader Company to comply with the SEC rules and regulations

What We're Looking For:
  • Law degree and license to practice law,
  • At least 7-15 years of experience practicing law, including in the area of contract review and negotiation, preferably in both private practice and corporate settings.
  • Excellent verbal and written communication, negotiation and persuasion skills, including the ability to weigh and articulate the risk and benefit of various scenarios and propose effective resolutions.
  • Exceptional leadership, organizational and administrative skills.
  • Must have knowledge and working experience of employer-employee legal principles, EEOC, and understanding of laws such as the Title VII, Fair Labor Standards Act, litigation, claims and equity, contracts.
  • Ability to work closely with Counsel and paralegals and in a team environment
  • Effective communication skills with non-legal staff, such as our sales, consulting, and management teams as well as with client representatives.
  • Willingness to take on additional duties in a growing company.
  • Ability to handle multiple projects simultaneously in a dynamic environment with very tight deadlines.
  • Experience with federal contracting would be a plus.
  • This position will be hybrid and is required to be in-office up to 3 days per week
