Description:
WisdomTree is seeking a Senior Corporate Counsel to join our Corporate Legal team. This role is designed for an experienced corporate attorney who can independently handle a wide range of general corporate and commercial legal matters while continuing to expand scope and responsibility over time. The person in this role will report to the Chief Legal Officer and will support multiple business functions and collaborate closely with senior business stakeholders and senior legal team members on complex and evolving matters.Responsibilities:
- Provide legal advice and guidance across a broad range of corporate and commercial matters affecting the business.
- Draft, review and negotiate a variety of commercial agreements, including master services agreements, SaaS agreements, consulting agreements, vendor and marketing agreements, data and IP licensing agreements, NDAs and strategic collaboration agreements.
- Support corporate transactions, including mergers, acquisitions, strategic investments, financings and related documentation and due diligence activities.
- Assist with public company and corporate governance matters, including board and committee materials, SEC reporting support and corporate recordkeeping.
- Conduct legal research and analysis to ensure compliance with applicable laws and regulations, including evolving and emerging legal frameworks such as data privacy, artificial intelligence and other emerging technologies.
- Collaborate closely with internal stakeholders across business, finance, compliance, technology and operations teams and across other legal teams within the business.
- Manage outside counsel on discrete matters and transactions as needed.
- Contribute to the development and improvement of internal legal processes, templates and policies to support scalability and efficiency.
- J.D. from an accredited law school.
- Admitted to practice law in New York and in good standing.
- 5+ years of corporate legal experience, including significant law firm experience; in-house experience preferred but not required.
- Strong experience drafting and negotiating commercial agreements with the ability to manage matters independently.
- Solid understanding of general corporate, transactional and regulatory matters.
- Ability to manage multiple matters simultaneously in a fast-paced environment.
- Keen interest in learning other areas of law and having an opportunity to work on many different types of legal matters and business initiatives.
- Excellent written and oral communication skills with strong attention to detail and analytical rigor.
- Business-minded approach with the ability to identify practical legal solutions.
Additional Considerations:
- Experience supporting asset management, financial services or regulated businesses.
- Familiarity with data privacy, technology transactions or digital asset-related matters.
- Working knowledge with and interest in understanding evolving technologies, including artificial intelligence.
- Experience working directly with senior business stakeholders.
- Eagerness to work as part of a collaborative team.
- Hands-on, entrepreneurial mindset, comfortable navigating unpredictable situations and evolving priorities and building solutions where precedent may be limited.
Base salary range of $225,000 through $275,000.**
Annual discretionary bonus, payable in cash and/or equity securities consistent with WisdomTree's policies and procedures, and subject to the terms and conditions of WisdomTree's equity plan.
