The Senior Corporate Attorney will be primarily responsible for negotiating, drafting, and interpreting various types of government and commercial contracts, developing internal policies and procedures for the contract review process, and ensuring compliance with state, local, and federal law. Responsibilities:
  • Draft, review, mark-up and negotiate a wide range of government and commercial agreements across multiple US and international business units, including but not limited to master agreements, purchase agreements, terms and conditions, sales and supply, non-disclosure, representation, and distribution agreements.
  • Assist sales and operations teams with initial non-disclosure agreements, and contract preparation, review and negotiation.
  • Advise sales and operations team on risks associated with draft contract provisions and revise contracts to reflect intended deal terms and reduced risk.
  • Collaborate with internal and external contract teams and facilitate cross-team communication and decision-making among the Legal, Finance and operations team.
  • Develop contract standard terms and conditions and periodically update standard terms and conditions to comply with legal changes and developments.
  • Engage with Trade Compliance Manager to ensure contractual terms comply with import/export regulations.
  • Review and revise internal contract review policies and procedures and provide training to employees regarding the same.
  • Serve as subject matter expert along with the IT team to develop and automate contract review process in the CRM/ERP systems.
  • Protect intellectual property rights currently possessed and developed through drafting and negotiating contractual provisions.
  • Organize and maintain An American Public Corporation intellectual property portfolio.
  • Serve as support for mergers and acquisitions during negotiation, due diligence, contract drafting and integration.
  • Provide timely, practical, business-oriented contract advice directly to business teams.
  • Drives a strong culture of compliance by providing legal oversight and directions to management.
  • Assists with corporate compliance activities, ensuring protection of intellectual property and other governance matters.
  • Administer government contracts/subcontracts consistent with FAR, DFARS, and other government flow downs.
  • Assist in the interpretation of contract documents and in the resolution of disputes related to contract terms.
  • Provide training to operational and sales leaders regarding contract and risk best practices.
  • May manage and supervise junior attorneys and contract specialists.
  • Other duties and responsibilities as assigned.

Minimum Qualifications:
  • Juris Doctor (JD) degree from an accredited law school.
  • Licensed in New York State to practice law.
  • At least five (5) years of experience negotiating and drafting high-value commercial or government contracts either at a law firm or in-house legal department.

Preferred Qualifications:
  • Experience with intellectual property, trademark and licensing is a plus.
  • Experience with corporate mergers and acquisitions is a plus.
  • Experience with FAR/DFAR contract provisions and government contracting process is a plus.
  • Experience using SNAP-R, DDTC portal and DECCS a plus.
  • Ability to formulate innovative solutions to mitigate legal risk in a manner that supports business objectives and priorities.
  • Ability to work independently with minimal supervision and to represent the department effectively as part of a multi-functional team.
