Job Description:Basic Purpose
Provides legal assessments, interpretations, recommendations, and representation to the company on various procurement related contracts. Acts as the company's primary attorney responsible for assisting business units in drafting and negotiating procurement related contracts. Advises and represents the company in contract disputes. Assists the business units in administering contracts to ensure contractual rights and obligations are properly fulfilled. Reviews and recommends application of corporate policies to protect the company's interests and objectives. May assist with other contractual and commercial matters with which the company is involved, including but not limited to real estate transactions, power purchase or sale arrangements, transmission service arrangements, construction agreements and other agreements typically encountered in the energy industry.
Responsibilities:
Essential Duties and Responsibilities:
- Provides legal assessments, interpretations, recommendations, and representation on a wide range of legal issues involving federal, state, county, and municipal statutes, regulations and other legal authority, as well as corporate policies.
- Advises company on contractual rights and obligations of the company in connection with the contracts to which the company is a party. Drafts, revises and negotiates procurement contracts and other contracts to which the company is a party. Drafts and revises all forms of legal documents including contracts, pleadings, data requests, data request responses, testimony, regulatory documents, reports, and presentations. Works with business units to administer contractual commitments and ensures the interests of the company are properly protected.
- Represents the company in contractual disputes with vendors and service providers, including properly documenting defaults or other failures of a counterparty to perform under the terms of the applicable contracts. Develops and presents recommendations to senior management regarding courses of action to ensure compliance with applicable legal authority and minimize legal risks. Oversees and directs outside legal counsel, to the extent outside counsel is utilized.
- Recommends application of corporate policies and legal controls to protect the company's interests and objectives. Ensures all compliance aspects of position are known and followed; understands and complies with all policies, codes and regulations applicable to position and company. Monitors and enforces all compliance requirements for area of responsibility.

Qualifications:
Essential Education, Skills, and Environment
Education and Work Experience:
Juris Doctorate degree from an American Bar Association accredited U.S. law school, as well as membership with the State Bar of Nevada within one year of starting the position. Minimum of three years of experience in law firm, government or corporate setting.
Specialized Knowledge and Skills:
Demonstrated knowledge of:
- Excellent verbal and written communication and interpersonal skills including the ability to assess implications of proposed actions/arguments and respond appropriately in internal and external forums.
- Research and analysis techniques and application of federal, state and local government laws and regulations
- Ability to work and communicate with business units to understand purpose and scope of contracts.
- Ability to work as a team member, to maintain project timelines, to manage and prioritize multiple legal initiatives, and deliver commitments.
- Ability to process significant contract review and administration case load in an organized and timely manner. Knowledge of is required.

Work Environment and Physical Demands:
General office environment. No special physical demands required. Same-day and overnight travel required.
