A Well-Funded, Venture-Backed Technology Company is seeking a Product Counsel to contribute to bringing their cutting-edge near eye display technology to market. The position will be best filled by a highly-motivated person with 3 to 5 years of experience as a product counsel who is interested in learning and growing into a broader role. This position will be responsible for legal compliance and contracts for products developed, as well as general legal support across the organization. This is a great opportunity to learn the breadth of legal responsibilities at a startup and to support bringing to market a revolutionary technology in a fast-growing field. This position will work closely with our engineering, sales, finance, and operations teams. This position reports to the Chief Operating Officer.

This position is part-time (between 50-80% initially). The salary range for this position is $100,000-$180,000 depending on experience and percent time committed. The role is a hybrid role, with some time expected to be in our office located in San Mateo, CA, within walking distance of Caltrain.

Responsibilities:
  • Primary responsibilities (Product Focused)
    • Own legal compliance for A Well-Funded, Venture-Backed Technology Company products
    • Work with engineering, sales, and leadership team to support all aspects of product development and new product introductions through the entire product life cycle, from design, product development, to manufacturing, sales and post-sales support
    • Advise on product-specific legal strategy in alignment with company strategy and risk tolerance
    • Draft / review / advise on customer and partner agreements
    • Review / negotiate NDAs, loan agreements, and sales agreements
    • Manage trademark and patent strategy from an administrative and compliance standpoint
    • Track licenses and contract obligations
    • Review / approve POs or negotiate appropriate terms
  • Additional responsibilities (General Legal)
    • Support general legal compliance
    • Support corporate transactions and administration
    • Support regular finance deliverables (investor audits, investor information requests, annual audits, taxes, etc.)
    • Support HR compliance
    • Contribute to building and improving upon legal infrastructure and process
    • Provide strategic guidance to assess and mitigate legal and business risk

Qualifications:
  • Comfort in working cross-functionally (with engineering, sales, and leadership teams)
  • Willingness to try new solutions and share challenges and roadblocks
  • A “how can I help” mindset
  • Curiosity, humility
  • J.D. degree, admitted to California State Bar
  • 3 to 5 years of experience with hardware product transactions
  • In-house experience preferred
  • Solid communication skills, ability to work in ambiguous / changing situations
  • Comfort navigating risk when evaluating legal strategy
  • Interest in learning the full spectrum of legal support in a startup (ideal position for someone looking to develop skills for a General Counsel role)
  • Strong interest in technology
  • Experience in drafting and negotiating a broad range of intellectual property and commercial agreements, including technology and supply agreements
  • Familiarity with other legal areas (e.g., patents, trademarks, privacy, import/export)
