Your Role:
Do you enjoy analyzing complex legal issues and solving complex problems? Are you interested in helping structure and operate alternative investment funds for one of the world's largest asset managers?

We're looking for a private funds lawyer to:
  • help structure and operate commingled hedge funds, single investor funds, managed accounts, and other alternative investment products
  • draft a wide variety of fund formation documents as well as transaction documents, including limited partnership agreements, offering documents, subscription documents, side letter agreements, and other investment-related documents
  • advise on regulatory and compliance issues, including interpretation of Investment Advisers Act of 1940
  • work closely with investments, products, client coverage, and other functions to launch new investment products and negotiate their terms with investors and asset allocators

Your Team:
You'll be part of the legal team which covers A Swiss Multinational Investment Bank and Financial Services Company asset management business in the Americas, primarily advising the Hedge Fund Solutions (HFS) investment unit. HFS specializes in sourcing, monitoring, and managing multi-manager hedge fund portfolios.

The team is part of the broader in-house legal department which supports A Swiss Multinational Investment Bank and Financial Services Company activities globally across all its divisions.

Your Expertise:
You Have:
  • ideally, four or more years of relevant experience at a law firm and/or in-house at a hedge fund or investment bank
  • experience advising on private fund formations and lifecycle events
  • an understanding of US and foreign regulations which affect private funds and their managers

You Are:
  • able provide clear, pragmatic legal advice to business stakeholders and control functions
  • capable of working on a wide range of challenging and novel initiatives
  • a great communicator and clear writer who is able to interact with different types of internal and external stakeholders, including clients and investors
  • ability to identify and differentiate between different types of legal risks - and rigorously analyze key risk issues, often under time pressure
  • interested in using technology to improve decision making
