The Position:
We are seeking a self-motivated lawyer to join our corporate legal team as Counsel. While this position can be primarily remote, the ability to travel easily to a nearby Arch office for team meetings, collaboration and other in person needs is strongly preferred. Preference is given to the following East Coast offices: Greensboro, NC; Raleigh, NC; White Plains, NY; Jersey City, New Jersey. This position is best suited for an individual with the ability to lead a variety of tasks and to support a global team of colleagues.

Job Responsibilities:
  • Support a growing global organization, including IT and Strategic Analytics functions, with a broad variety of legal matters
  • Partner with various stakeholders to identify, evaluate and address legal and regulatory risks in light of emerging laws, compliance obligations and policies for AI/Gen AI
  • Primary support for the negotiation of rapidly evolving commercial and legal AI/Gen AI terms with third parties, including coordination with the global legal team on operation and maintenance of AI/Gen AI tools, templates, and AI/Gen AI governance and training programs.
  • Negotiate and draft a variety of technology and data analytics related contracts and agreements including Master Agreements, Statements of Work, SaaS, software licensing, outsourcing agreements, confidentiality agreements, data protection, and data security schedules/agreements.
  • Negotiate engagement letters, data licensing and subscription agreements.
  • Serve as a subject matter expert on a variety of legal agreements and templates for use across the organization.
  • Work on other projects and corporate initiatives as assigned.

Required Skills/Experience:
  • Currently licensed to practice law in one or more states (NY, NC or NJ preferred)
  • 4-7 years of hands-on experience in a law firm and/or in-house role including experience with highly regulated clients, including prior experience with technology companies, start-ups, insurance or financial services industries.
  • Excellent communication and interpersonal skills to collaborate effectively with business clients at all levels, attorneys, and administrative staff.
  • Experience with artificial intelligence, product counseling, intellectual property law, data privacy and/or information security requirements (US and non-US), including a solid technical understanding of IT, information security, AI and data analytics
  • Solid legal analysis and writing skills
  • Strong negotiation skills, including the ability to influence both internal and external parties.
  • General understanding of corporate operations, including facilities/commercial leasing, IT operations, cloud computing, software licensing, data licensing, and other commercial agreements.

Desired Skills/Experience:
  • Familiarity with public companies, regulatory compliance, artificial intelligence, generative AI and other subsets of AI
  • General corporate law fundamentals (contracts review / contracts lifecycle management), business entity structure, M&A experience.
  • Team player and ability to pivot easily between topics and tasks
  • Preferred experience (but not mandatory) with multi-national entities, global risk management and compliance

Education:
  • Completion of 4-year degree
  • JD from accredited law school
