You will play a critical role in handling complex corporate matters, including mergers and acquisitions, joint ventures, private equity, and general corporate governance. This role offers direct access to high-profile clients and complex, cross-market transactions collaborating with team members in jurisdictions across the United States, Europe, and the Middle East.
In this role you'll
- Advise clients on a broad range of corporate transactions, including M&A, reorganizations, and strategic investments.
- Draft, review, and negotiate transactional documents such as purchase agreements, shareholder agreements, operating agreements, and other corporate contracts.
- Conduct and manage due diligence processes.
- Provide general counsel services to corporate clients, including entity formation, governance, and compliance matters.
- Collaborate with cross-functional teams across offices and practice areas.
- Support senior attorneys in managing client relationships and business development initiatives.
- Embrace technological changes in tools and approach to practicing law and advising clients, including responsible and appropriate use of AI resources.

Skills and experience required:
- 4–6 years of relevant corporate transactional experience at a law firm or in-house legal department.
- Managing complex M&A projects and timelines, interacting with subject matter experts and junior resources, preparing equity and asset purchase agreements and ancillary documentation, and conducting and summarizing legal due diligence in M&A transactions, with an emphasis on private equity transactions and private target M&A.
- Significant attention to detail and ability to interact successfully with clients, investment bankers, and other advisors.
- Excellent written and oral communication skills, analytical skills, and the ability to distill complex information into actionable advice.
- Strong drafting, negotiation, and analytical skills.
- Ability to manage multiple projects and deadlines independently.
- Collaborative team player who thrives in a fast-paced, high-performance environment.
- Ownership mentality and the ability to assume a high degree of responsibility.
- Licensed to practice law and in good standing with the Colorado state bar.
