Description:
Associate positions offered by Paul Hastings LLP (New York, NY). Draw upon legal education and experience to provide legal advice regarding highly sophisticated leveraged finance and credit transactions, with special emphasis on Canada-U.S. cross-border financings and Canada-U.S. restructuring expertise. Represent large financial institutions, including large banks, underwriters, and/or direct lending credit funds. Negotiate legal documentation and strategies with clients and opposing counsel and manage and oversee bank lending, direct lending and restructuring transactions from initiation to completion. Review junior associates' work product in preparing supporting legal documentation. Assist in the structuring of guarantor and collateral packages in multiple jurisdictions. Develop client relationships, including attending client events. Mentor junior and summer associates.Minimum Requirements:
- Requires a Juris Doctor or foreign equivalent degree.
- Must have 3 years of experience in each of the following: Working for an international law firm;Representing banks, alternative lenders, investors, or other financial institutions, as arrangers, lenders, and underwriters across a spectrum of corporate finance transactions, including secured and unsecured lending arrangements, leveraged and acquisition financings, debt restructurings and recapitalizations;Advising and working with large banks, financial institutions and private credit lenders reviewing, drafting, and negotiating corporate lending, restructuring and work-out documentation including term sheets, credit agreements, security documents, forbearance agreements, intercreditor arrangements, refinancing documents, and payoff documents;Facilitating sponsor-backed acquisition finance processes of large syndicated and middle market financing transactions; Working with local counsel in foreign jurisdictions in connection with cross-border transactions (including the United States and Canada) and structuring collateral and guarantee arrangements; andReviewing and analyzing due diligence information, commercial agreements, and acquisition agreements.

- Position reports to New York, NY office. Telecommuting permitted in accordance with firm policy, but must live within commuting distance of stated office.
- Experience may be, but need not be, acquired concurrently.
We are offering a salary of $420,000 to $435,000 per year.
