Position Overview:
At A Pharmaceutical Company, we're seeking an attorney to join our agile and lean in-house Legal department. The ideal candidate will be able to adapt quickly to the evolving nature of our fast-paced work environment. Key Responsibilities:
  • Enhanced Contract Review Process: Lead the review, drafting, and negotiation of a broad spectrum of contracts, with an added focus on refining the contract review process.
  • Clinical Program Support: Offer legal guidance to the clinical operations team, supporting the start-up and execution of clinical trials. Tackle legal and regulatory challenges related to patient consent, data privacy, and the administration of clinical study agreements.
  • Disclosure Review: Support the review process for public disclosures, such as press releases, marketing materials, and communications with investors, in compliance with SEC regulations and other pertinent laws.
  • SEC-Related Matters: Assist the team with securities law compliance, including the preparation and scrutiny of SEC filings like 10-Ks, 10-Qs, 8-Ks, proxy statements, and overseeing insider trading policies.
  • Litigation Matters: Collaborate on any litigation affairs, including intellectual property disputes, contractual disagreements, and other legal proceedings.
  • Corporate Governance: Provide advice on issues of corporate governance, including matters concerning the board of directors, corporate policies, and adherence to corporate governance norms. Support various legal aspects of corporate transactions.

Qualifications:
  • JD degree from an ABA-accredited law school; active membership in at least one State Bar Association.
  • Two to five years of legal experience, whether in-house or at a firm. Experience in the life sciences industry (biotech/pharmaceutical) preferred but not required.
