Job Summary:
Tessitura's Legal and Risk Team sits within the Company's Operations Group and is led by the General Counsel. The team's purpose to proactively identify and mitigate the legal, regulatory, compliance and financial risks that the Company is exposed to in its day-to-day operations.

The Legal Counsel will provide legal and compliance support on business operations, while assisting with the Company's international strategy and continued growth. The successful candidate will be a proactive and practical lawyer with approximately 2 to 4 years experience at a law firm, or in house at a technology or similar company. While continuous training and development will be provided, some previous experience in SaaS business models, software, technology, intellectual property and data protection is required.

The role requires strong communication and interpersonal skills, enabling the Legal Counsel to build and develop trusted relationships with all stakeholders, including senior leadership, colleagues, customers and strategic partners. As a fully remote Company, this is a full-time work-from-home position with occasional travel required.

Main Responsibilities:
  • Support the team and the Company in all commercial and legal matters, while proactively assisting in the identification and mitigation of risk.
  • Draft, review, and negotiate a broad range of legal agreements relating to software, licensing, SaaS and other cloud-based services, including relationships with customers, vendors and integrated strategic partners.
  • Draft, review, and negotiate agreements and clauses concerning complex data privacy and cybersecurity matters, including data processing agreements.
  • Collaborate with the team and internal stakeholders to provide timely and practical legal advice to ensure that the contracting process results in high-quality agreements that are completed in a quick and efficient manner.
  • Serve as a point of contact for both internal stakeholders and external customers regarding day-to-day contractual issues.
  • Assist with the review of tender/RFP requirements and advise internal stakeholders on appropriate responses.
  • Assist with the development and maintenance of the Company's standard forms of routine commercial agreements and other legal documentation.
  • Contribute to the Company's policies, processes, guidelines and procedures designed to manage and mitigate risk.
  • Assist with the training of internal stakeholders on legal matters.

Required Skills and Experience:
  • J.D. or equivalent, with active bar admission in at least one U.S. state.
  • 2 to 4 years of experience at a law firm, or in house at a technology or similar company.
  • Demonstrated experience drafting and negotiating agreements relating to software, licensing, SaaS and other cloud-based services, including relationships with customers, vendors and integrated strategic partners (continuous training and development will be provided).
  • Experience drafting and negotiating agreements relating to complex data privacy and cybersecurity matters, including data processing agreements (continuous training and development will be provided).
  • Ability to lead on negotiations, achieving commercial compromises while balancing Company objectives and risk mitigation.
  • Proactive team player with the ability to identify legal risks and mitigation strategies.
  • Excellent organizational skills and the ability to successfully and efficiently manage projects with internal and external stakeholders.
  • Strong professional work ethic and impeccable integrity and judgment.
  • Strong communication skills, both written and verbal, with the ability to advise stakeholders at all levels.
  • Strong interpersonal skills.
  • Occasional domestic or international travel may be required.
  • Candidates must be authorized to work in the United States and willing to work Central or Eastern time zone hours.
