So, what's the role all about?
We are looking for an experienced commercial and technology Legal Counsel to lead commercial and technology transactions and initiatives in support of A Leading Provider of Software Solutions's business objectives. You will play a key role in A Leading Provider of Software Solutions's sales growth in the Americas, with a focus on enterprise cloud transactions. The role will require legal expertise in cloud technology transactions across a variety of industries and markets. We will value your experience with data privacy law and security, as well as your knowledge of global SaaS industry trends. You will contribute to global initiatives, process improvements, and playbooks to help A Leading Provider of Software Solutions scale for growth and improve contracting processes. This role will report to the Associate General Counsel for A Leading Provider of Software Solutions and can be based in one of the following A Leading Provider of Software Solutions office locations on a hybrid (2 days per week in office) basis: Hoboken, NJ; Richardson, TX and Denver, CO.

How will you make an impact?
  • Lead complex commercial transactions across sales, product, and procurement functions.
  • Serve as a legal representative on a number of cross-functional teams that drive A Leading Provider of Software Solutions's strategy and business objectives.
  • Build strong internal and external relationships while balancing the needs of A Leading Provider of Software Solutions's business strategy and priorities.
  • Provide deep knowledge of relevant aspects of United States and international laws concerning commercial terms, including data privacy and cybersecurity.
  • Draft and negotiate outbound sales-related contracts, including SaaS and software license contracts.
  • Anticipate changes to, and advise on, relevant laws impacting A Leading Provider of Software Solutions's commercial activities and its customers.
  • Provide continuous improvement of standard form agreements, playbooks, contract templates, and legal processes.

Have you got what it takes?
  • Law degree with excellent academic credentials
  • 4+ years as a licensed practicing attorney with at least 2+ years' experience in SaaS, cloud computing, and enterprise software transactions
  • Active license to practice law in any U.S. state
  • Substantive transaction experience with complex contract and/or licensing agreements, working with partners and experience working in fast-paced technology companies
  • Previous in-house experience required, and previous experience in the legal department of a U.S. publicly traded company is preferred

You will have an advantage if you also have:
  • Experience in compliance, data security, privacy, and intellectual property matters, and a strong working knowledge of data protection laws and trends
