Your New Role
Due to our growth, we are expanding our investment capabilities in New York, focusing on Infrastructure, Property, Private Credit and Private Equity. As Legal Counsel, Fund Investments, your role is designed to ensure that the commercial elements regarding the Fund's investments are effectively identified, negotiated and documented at the outset, and continuously monitored. This position is based on-site at 1251 Avenues of the Americas, with a hybrid work schedule; and will report to the Head of Investments Legal, who is also based in New York.

Key Responsibilities:
  • Independently, and/or in conjunction with another lawyer, negotiate, draft and provide strategic legal advice on legal documentation and commercial terms relating primarily to the Fund's commingled fund investments and related investment activity in private markets (private equity and infrastructure).
  • Lead the identification, escalation and mitigation of legal risks associated with the Fund's investment activities as part of the legal work stream.
  • Build and develop professional working relationships with members of the asset class teams located locally and in other offices.
  • Manage the due diligence required in respect of assets in which the Fund is planning to invest, with a particular focus on the Fund's commingled fund investments.
  • Manage external law firms and due diligence providers on matters to ensure all material risks are addressed to the Fund's satisfaction.
  • Take an active role in the development and implementation of appropriate control processes, precedents and checklists for the ongoing review of investments in unlisted assets.

What We're Looking For:
  • JD Degree from and accredited U.S. law school and admitted to the Bar in a US jurisdiction (with a strong preference with the New York Bar)
  • 3 to 6 years of experience (preferably with significant exposure to commingled fund investment transactions) working within private practice at a large law firm, with an understanding of private equity, corporate and M&A transactional law.
  • Experience working on large-scale corporate/commercial transactions with a robust working knowledge of limited partnership agreements, shareholder arrangements, co-investment and co-underwrite transaction investments.
  • Demonstrates sound commercial judgement and a results orientation.
  • Ability to manage projects with a number of parties and service providers
  • Developed understanding of negotiation strategies
  • Experience with drafting contracts, preparing reports, analyzing information and drawing conclusions
  • Understanding of due diligence requirements relating to investments.

Pay Transparency Notice
The pay range for this position is $300,000 to $375,000 (this is based on full-time hours, located in New York City). The compensation offered may vary depending on job related knowledge, skills, and experience and refers to the amount AustralianSuper is willing to pay at the time of posting.
