Partner with Kirkland & Ellis LLP (New York, New York). Working within the Capital Markets practice group, represent corporate and financial institution clients in capital markets and other corporate transactions. Requires a Juris Doctor, LL.M. or foreign equivalent. Requires admission to the New York State Bar. Requires at least four (4) years of experience as an Associate, or related job/role/occupation with a global law firm focusing on capital markets transactions. Experience must include: Representing multinational corporations and financial institutions on corporate finance matters and capital markets transactions, including aspects of cross-border mergers and acquisitions (M&A), debt finance transactions, equity financing and restructuring; Advising issuers, underwriters, and sponsors on capital markets transactions, debt financing and debt restructuring; Reviewing and analyzing securities and related capital markets laws, rules and regulations to ensure compliance in various transactional contexts including mergers and acquisitions and financings; Representing investment banks, lenders, borrowers, and issuers in negotiations of capital markets transactions, debt financing, equity finance and restructurings; and Drafting and reviewing legal documents relating to capital markets transactions including bond offerings, equity underwritings, drawdowns, high-yield bonds, recapitalizations involving debt instruments and preferred stock, and IPO underwriting. The hiring salary for this position is $435,000.
