Description:
Partner with Kirkland & Ellis LLP (New York, NY). Advise public and private corporate clients, financial institutions, and private equity firms in domestic and cross-border M&A and private equity transactions. Requires a Juris Doctor or LL.M. degree, or foreign equivalent. Requires admission to New York state bar and at least four (4) years of experience working as an Associate, Attorney, or related job/role/occupation with a law firm advising on public and private M&A transactions. Experience must include: Representing private equity firms and public and private companies in mergers and acquisitions, leveraged buyouts, carve-outs and minority investments as well as related corporate governance matters; Leading due diligence and document review processes and managing transactions, including overseeing junior associates and coordinating with various specialist counsel; Advising on transaction structuring by analyzing tax implications and regulatory considerations; Drafting and negotiating a broad array of transactional documents, including equity agreements, stock and asset purchase agreements, operating agreements, subscription agreements, shareholders agreements, term sheets, board resolutions and other ancillary transaction documents; and Providing legal advice on corporate governance, and corporate regulatory compliance matters arising from mergers and acquisitions and complex reorganizations.
