Associate with Kirkland & Ellis LLP (Nashville, TN). Work within the M&A/Private Equity practice group to advise corporate and private equity clients in complex corporate transactions. Requires a Juris Doctor or LL.M. degree, or foreign equivalent and admission to Tennessee state bar. Requires 4 years of experience as an Associate, or related job/role/occupation with a law firm focusing on complex corporate transactions. Experience must include: Leading transaction structuring and deal design across merger, acquisition, and investment formats; Coordinating the legal due diligence process spanning corporate, contractual, regulatory, and litigation risk areas; Drafting and negotiating complex contracts including definitive agreements, disclosure schedules, and ancillary documents; Analyzing deal economics such as purchase price mechanisms, earnouts, and equity structures; Advising on corporate governance regarding fiduciary duties, board processes, and standards of review; Executing private equity transactions across the full investment lifecycle; Managing closing mechanics and post-closing matters including purchase price adjustments, indemnification claims, and transition services.
