Associate (Senior) with Kirkland & Ellis LLP (Los Angeles, CA). Work within the Debt Finance practice group advising clients on a broad range of corporate debt finance transactions. Requires a Juris Doctor or LL.M. degree, or foreign equivalent. Requires admission to the California state bar. Requires at least three (3) years of experience as an Associate with the Corporate or Debt Finance practice group of an international law firm. Experience must include: Supporting corporate borrowers, private equity sponsors and commercial lenders in sophisticated debt transactions including merger and acquisition financing, syndicated credit facilities, and debt restructurings; Drafting corporate and financial transaction documents, including term sheets, commitment papers, credit agreements, and security agreements; Developing and implementing loan workouts and restructuring plans; Supporting legal advice to financial institutions and corporate clients on term loan obligations, exit financing, creditor negotiations, and debt finance transactions; and Reviewing proposed finance transactions to evaluate and develop advice on debt obligations.
