Associate (Senior) with Kirkland & Ellis LLP (Chicago, IL). Work within the M&A/Private Equity practice group to advise corporate and private equity clients in complex corporate transactions. Requires Juris Doctor or LL.M. degree, or foreign equivalent. Requires admission to Illinois state bar. Requires 4 years of experience as an Associate or related job/role/occupation with an international law firm focusing on complex corporate transactions. Must have experience with the following: Supporting private equity firms, funds, and portfolio companies in sophisticated corporate transactions including leveraged buyouts, public and private mergers and acquisitions, divestitures, spin-offs, joint ventures, and strategic investments; Coordinating the due diligence process, including reviewing and analyzing corporate governance documents, regulatory filings, and material commercial agreements to identify legal risks and provide actionable recommendations. Drafting, reviewing, and negotiating a broad range of transaction documents, including merger agreements, asset transfer agreements, share exchange agreements, disclosure letters, limited guarantees, equity commitment letters and capital contribution agreements; Collaborating with cross-functional teams, including finance, legal, tax, and operations, as well as external counsel and counterparties, to facilitate efficient execution of transactions; Coordinating and managing workflows for due diligence processes and deal closings, including organizing, reviewing, and synthesizing large volumes of documentation.
