A Nursing Home in Crestwood, Missouri is an EEO Employer - M/F/Disability/Protected Veteran StatusWe are seeking an experienced Corporate In-House Counsel to join our rapidly growing Healthcare company. The ideal candidate will have substantial experience in Long term care, physician practices with mergers and acquisitions, private equity transactions, contract management, and corporate law, with specific expertise in healthcare regulations and transactions. This role will be instrumental in supporting our firm's continued growth and expansion through strategic transactions and robust contract management.

- Lead the legal aspects of complex M&A transactions, including due diligence, deal structuring, negotiation, and post-closing integration
- Provide guidance on healthcare regulatory matters including HIPAA, Stark Law, Anti-Kickback Statute, and state healthcare regulations
- Develop and maintain a comprehensive contract management system for the firm and its portfolio companies
- Assist with physician contracting and healthcare leasing.
- Draft, review, and negotiate a wide range of commercial contracts including vendor agreements, service agreements, NDAs, licensing agreements, and employment contracts
- Review and structure healthcare-specific agreements including provider agreements, management services agreements, and payor contracts
- Establish standardized contract templates and processes to improve efficiency and ensure consistency
- Draft, review, and negotiate complex legal documents including purchase agreements, shareholder agreements, and financing documents
- Manage relationships with external counsel while optimizing legal spend and ensuring quality of deliverables
- Develop and implement legal compliance programs and policies to support the firm's operations and growth initiatives
- Monitor and maintain contract renewal schedules and ensure timely review of contract modifications
Required Qualifications:
- JD degree from an accredited law school and active membership in state bar association
- 5+ years of relevant legal experience, Healthcare focused on M&A, contracts, and compliance
- Prior experience in a healthcare-focused private equity firm or healthcare company
- Demonstrated experience in healthcare regulatory compliance and healthcare transactions
- Strong understanding of securities laws, corporate governance, and regulatory compliance
- Proven track record in implementing and managing contract lifecycle management systems
- Exceptional drafting and negotiation skills with attention to detail
- Previous experience at a top-tier law firm and/or in-house legal department
