The Counsel is responsible for preparing, processing, reviewing, tracking, and maintaining corporate legal documents and files; providing legal guidance; and assuring adherence to all compliance requirements to support PennEnergy's operations in the Appalachian Basin.What You Will Do for Pennenergy

- Support and advance PennEnergy's efforts to achieve corporate goals and field operations, mitigate risk, and ensure compliance with applicable agreements, laws, and regulations.
- Prepare, review, and maintain agreements, contracts, forms, files, and other relevant legal documents or correspondence.
- Provide support to PennEnergy's Land team in reviewing and negotiating title opinions, recommending title curative actions, drafting and negotiating various land-related oil and gas development agreements (e.g., oil and gas leases, right-of-ways, surface use agreements, assignments, mineral deeds, joint operating agreements, joint development agreements, etc.).
- Provide support to PennEnergy's Supply Chain team in reviewing and negotiating Master Service Agreements and Work Orders with contractors necessary to support PennEnergy oil and gas exploration and development operations.
- Provide support to PennEnergy's Health, Environment, and Safety teams in legal analysis and review of various regulatory compliance matters, permitting documents, and incident response.
- Develop and maintain contract and legal document templates. Customize and/or insert amendments as appropriate.
- Develop, implement, and manage a filing and tracking system for corporate legal documents and contracts. Ensure all PennEnergy legal and corporate documents are current, accurate, and compliant.
- Support record keeping system for corporate action documents related to actions taken by all PennEnergy entities.
- Provide legal analysis of issues relating to joint-venture counterparties, service providers, agencies, and other parties. Interact through correspondence, research, document preparation, drafting, and other related responsibilities. Negotiate, resolve, and prevent issues on behalf of PennEnergy.
- Support the Chief Legal Counsel in legal matters, contract issues, compliance with relevant local, state, and federal laws. Provide correspondence and documentation with partners, stakeholders, agencies, and other internal and external parties.
- Manage and collaborate with outside counsel related to transactions, litigation matters, local zoning, regulatory, and other legal and compliance issues.
- Collaborate with various departments to address issues, provide legal guidance, and ensure compliance. Support efforts to ensure compliance with all terms and conditions of applicable Joint Venture, midstream, and credit agreements.
- Prepare reports and other documentation for tracking, compliance, and presentations to internal and external audiences.
Required Qualifications:
- Knowledge of legal procedures, case law, and statutes with a focus on oil & gas, real estate, contracts, and applicable federal, state, and other regulatory requirements.
- Experience creating and interpreting legal documents, contracts, research, and conducting document reviews.
- Microsoft Office Applications and ability to learn new software systems.
Work Environment/Physical Demands:
Work is generally performed in a temperature-controlled office environment, subject to extended periods of sitting and/or standing, vision to monitor, and typing. The potential for work in areas containing outdoor weather conditions, including wet, humid, cold, heat, loud noise, vibrations, gases, fumes, mists, dust, and odors if onsite visitation is needed. Must provide own transportation and be licensed to operate a motor vehicle.
Regular Schedule
This is a full-time salaried position with a regular schedule of Monday through Friday in-office work hours with potential for a hybrid work-from-home arrangement. Extended hours may be needed on occasion to complete objectives of PennEnergy. Up to 20% travel may be required to work sites beyond the corporate office.
