We provide expert guidance and support to all areas of the business, proactively identifying, mitigating, and managing legal and financial risks.
What You'll Do:
As the Head of Corporate Legal, you will serve as a specialist in matters concerning corporate governance, M&A, subsidiary management, stock plan administration, and various compliance issues. Managing a global team of 10, you'll grow, develop and inspire the Corporate Legal function to ensure we're scaling effectively towards IPO.
In this pivotal role, you will provide support for strategic corporate transactions and ensure adherence to critical regulations. A key aspect of this position is your ability to collaborate effectively with cross-functional teams from departments such as finance, accounting, tax, HR, corporate development, and IT.
This role is based in Singapore.
Responsibilities:
- Offer counsel on general corporate law issues, such as corporate finance, accounting, tax, treasury, investor relations, corporate communications, ESG, and stock plan administration.
- Maintain corporate governance guidelines, committee charters, and assist in preparing Board presentation materials.
- Assist with mergers and acquisitions (M&A), corporate transactions, debt restructuring, and inter-company agreements.
- Collaborate with the corporate strategy team to create term sheets, support due diligence efforts, actively manage deal processes and execution, and provide post-closing acquisition and integration support.
- Assist with executive compensation matters, stock plan administration, equity incentive plan, employee stock purchase plan (ESPP), and corporate bonus plans.
Who You Are:
We're looking for people who meet the minimum qualifications for this role. The preferred qualifications are great to have, but are not mandatory.
Minimum Qualifications:
- Juris Doctor degree
- Thorough training and experience from a top-tier law firm.
- 15 years of progressive corporate law experience, with a focus on rapidly growing tech companies.
- Demonstrated cross-border management expertise.
- Strategic thinker with sound business acumen.
- Proactive and detail-oriented individual adept at excelling in fast-paced environments.
Preferred Qualifications:
Fintech/payments experience is highly desirable
