Role Overview:Goldman Sachs is seeking a senior tax professional to provide strategic tax coverage for the firm's External Investing Group (XIG), including its investments in and advisory activities relating to third-party asset managers and other alternative investment platforms. The role will partner closely with business, legal, investment, and operations teams on fund structuring, investor negotiations, transaction diligence, and tax risk management across a broad range of private markets activities.
Key Responsibilities:
- Lead and advise on the tax structuring of Goldman Sachs-managed fund vehicles, including fund of funds and other vehicles investing across alternative asset classes, including private credit and private equity.
- Lead tax aspects of negotiations with institutional investors, sovereign wealth funds, and high-net-worth individuals, including the review of side letters, offering documents, and related fund documentation.
- Lead tax due diligence for the firm's fund of funds business, including evaluating the tax efficiency and risks of investments in third-party managers and identifying structures to mitigate adverse tax consequences for investors with particular tax profiles.
- Partner with business, legal, and investment teams on tax structuring for direct investment opportunities, co-investments, and platform acquisitions.
- Advise on tax-efficient exit strategies for portfolio investments and internal restructurings of fund-owned entities to optimize cash flow, repatriate earnings, or prepare for divestiture.
- Partner effectively with outside tax counsel, accounting firms, and internal stakeholders to drive appropriate tax planning, risk management, and compliance outcomes.
- Manage cross-functional team projects to improve fund operational processes and procedures that include tax touchpoints.
- Serve as a senior tax risk advisor through ongoing assessment of the tax regulatory environment and the firm's adherence to applicable tax compliance obligations.
- Monitor global tax developments and changes in law and regulation to inform planning, risk management, and business strategy.
Qualifications and Experience:
- Education: Juris Doctorate (JD) or advanced accounting degree.
- Experience: Significant relevant tax experience, typically 10-15+ years, at a nationally recognized law or accounting firm or a peer global financial institution or alternatives asset manager.
- Expertise:
- Strong tax technical skills in partnership taxation, fund structuring, and M&A structuring, including experience with UBTI, ECI, and related considerations for tax-exempt and non-U.S. investors.
- Excellent written and verbal communication skills, with strong attention to detail and the ability to communicate complex tax issues clearly to senior stakeholders.
- Ability to balance technical tax requirements with commercial objectives and provide practical, business-oriented advice in complex situations.
- Leadership: Ability to liaise effectively with senior business leaders, influence key stakeholders in a growing business, and lead complex, multi-jurisdictional workstreams.
