The Role: General CounselThe General Counsel will report directly to the Chief Executive Officer. This role involves providing comprehensive legal counsel, corporate development, and support to the CEO, VP of Finance, VP of Operations, board of directors, and senior leaders across organization. The General Counsel will spearhead the corporate legal strategy, regulatory and risk compliance programs, and oversee all legal and regulatory affairs for the organization. Furthermore, this role will be instrumental in influencing organizational strategy, overseeing domestic and international transactions.

- Provide expert legal advice to executives and management, or coordinate with external counsel on legal issues including but not limited to the organization's government and regulatory environment, data privacy and risk mitigation, intellectual property, patents, communications, corporate and business administration, finance and treasury, human resources, and stock incentives.
- Ensures adherence to regulatory requirements, including SEC reporting, export controls, government contracting, FCPA, FAA, and other agencies.
- Prepare and review legal documents and data, advising on appropriate legal actions. Ensure that legal issues, contracts, disputes, and complex transactions are conducted within the due diligence of the legal framework.
- Provides expertise and guidance on corporate governance policies and procedures throughout the company.
- Creates and executes risk management policies and procedures.
- Drafts, negotiates, reviews, and finalizes agreements.
- Develops and implements intellectual property protection strategies.
- Other duties and special projects as assigned.
What You Have:
- Degree from an ABA-approved law school, and an active member in good standing of the state bar of Texas.
- Minimum seven (7) years securities/corporate law/government experience at a major law firm and/or as an in-house Legal Counsel.
- Successful track record managing attorneys and outside counsel.
- A minimum of 2 years of experience in the aerospace, defense, or other similar technical and manufacturing industries.
- Broad legal knowledge of mergers and acquisitions, commercial transactions, government contracts, regulatory compliance, litigation, and intellectual property.
- Appreciation of how legal issues affect organizations.
- Ability to develop legal strategy and objectives and negotiate effectively.
- Strong leadership, communication and client management skills.
- Ability to thrive in a fast-paced and rapidly changing environment.
