Overview:
We are seeking a General Counsel – Corporate Governance and Securities Governance for our Broomfield, CO, Brooklyn Park, MN, Golden Valley, MN or remote location(s). An Accelerating Quantum Computing Company believes that employees work better, more efficiently and more collaboratively in close proximity to other employees, where ideas can be exchanged readily, and decisions can be made more quickly for the benefit of the Company and our customers. All employees should work at their assigned location; however, this role may offer the opportunity to work remotely, with approvals.

Reporting directly to the Chief Legal Counsel for An Accelerating Quantum Computing Company– the General Counsel – Corporate Governance and Securities Governance will be working closely with nine-person legal team responsible for servicing a broad range of An Accelerating Quantum Computing Company's corporate matters and interacting with senior leadership. Among the key areas, the role will focus on a broad range of corporate matters, with primary responsibility for An Accelerating Quantum Computing Company's corporate governance and securities matters. The role will also support treasury and tax transactions, human resources, ethics and compliance, general commercial contracting and other matters.

Key Responsibilities:
  • U.S. Securities Law Compliance: Ensuring Company compliance with laws, regulations and reporting/disclosure procedure, related to corporate governance and securities, including but not limited to Sarbanes-Oxley Act, Dodd-Frank Act, Securities Exchange Act, and relevant rules and regulations of regulatory bodies such as the Securities and Exchange Commission (SEC), in particular compliance with NYSE listing standards.
  • Corporate Governance Oversight: Developing, implementing, and maintaining effective corporate governance policies, procedures, and practices to promote transparency, accountability, and ethical conduct throughout the organization.
  • Board of Directors & Executive Support: In conjunction with the Chief Legal Officer, provide comprehensive legal counsel and support to the board of directors and executive leadership, including guidance on corporate governance matters such as board composition, director duties, board committees, executive compensation, transactions, and shareholder engagement, while also overseeing the monitoring of best practices, preparation of resolutions, development of board and committee materials, facilitation of the regular meetings, and management of general corporate governance affair.
  • Insider Trading Compliance: Establishing and enforcing policies and procedures to prevent insider trading and ensure compliance with U.S. securities laws, including facilitating insider trading training for employees and monitoring insider trading activities to prevent violations.
  • Regulatory Compliance Program: Developing and implementing a comprehensive compliance program that addresses U.S. securities laws and regulations, including conducting regular audits, risk assessments, and training programs to ensure ongoing compliance across the organization.
  • Securities Litigation and Enforcement: Managing legal proceedings, regulatory inquiries, and enforcement actions related to securities laws, including securities class action lawsuits, SEC investigations, and enforcement proceedings, and representing the corporation's interests in litigation and settlement negotiations.
  • International Securities Considerations: Providing legal guidance on cross-border securities transactions, including global offerings and listings, and ensuring compliance with U.S. securities laws extraterritorially, such as Regulation S for offshore offerings and Regulation M for activities related to securities trading outside the United States.
  • Collaboration and Coordination: Collaborating with internal stakeholders, external legal counsel, auditors, and regulators to address securities law issues effectively, including coordinating responses to SEC inquiries, negotiating agreements with underwriters and counterparties, managing relationships with regulatory authorities and supporting the Treasury/Finance organization in capital markets transactions and related activities;
  • Commercial Activities: Drafting and negotiating various commercial agreements, which may include master services agreements, development, marketing, supply, distribution and consulting agreements.
  • Other responsibilities: May include human resources and executive compensation matters, developing, reviewing and revising Company policies, conducting training where necessary, and handling various other legal matters as the needs of the business dictate.

You must have:
  • Juris Doctor (J.D.) degree minimum
  • Minimum 8+ years of experience as a practicing attorney
  • Member of the bar for at least one U.S. State
  • Applicants for employment for this position must have work authorization that does not now or in the future require sponsorship of a visa for employment authorization in the United States and with An Accelerating Quantum Computing Company. (i.e., H1-B visa, F-1 visa (OPT), TN visa or any other non-immigrant status)
